국가산업기밀 스파이를 간첩죄로 처벌하는 형법 개정안 본회의 통과
1. 형법상 간첩죄 적용 대상을 외국 또는 이에 준하는 단체까지 확대한 형법 개정안 통과(2026. 2. 26.)     ■ 2026년 2월 26일 국회는 간첩죄 적용 범위를 외국 또는 이에 준하는 단체까지 확대하는 내용의 형법 일부개정법률안을 본회의에서 의결하였습니다.     ■ 이번 개정으로 간첩죄의 적용 대상은 기존 ‘적국’에서 ‘외국 또는 이에 준하는 단체’로 확장되었고, 이에 따라 외국 기업, 제3국 조직 등을 위하여 국가기밀을 제공하는 행위도 처벌 대상에 포함되게 되었습니다.  2. 오랜 논의 끝에 본회의 통과에 이른 입법 경과     ■ 현행 형법상 간첩죄는 ‘적국을 위하여’ 간첩 행위를 한 경우에 한하여 처벌하도록 규정되어 있어, 냉전기 북한을 중심으로 한 안보 환경을 전제로 한 입법 체계라는 비판이 지속적으로 제기되어 왔습니다.     ■ 최근에는 반도체, 배터리, 인공지능, 방산 기술 등 국가 경쟁력과 직결되는 핵심 기술의 해외 유출 사례가 증가하면서, 외국을 대상으로 한 산업 스파이 행위까지 포섭할 수 있도록 간첩죄 규정을 정비해야 한다는 입법적 요구가 확대되었습니다.     ■ 이번 법률안 통과에 따라 국무회의 심의 등 절차를 거쳐 개정법이 공포될 예정이며, 부칙 규정에 따라 공포 후 6개월이 경과한 날부터 시행될 예정입니다. 3. 간첩죄 관련 형법 일부개정안 주요 내용     ■ 외국 등을 위한 간첩죄 처벌(형법 제98조의2 신설)         ▶ 개정안은 ‘외국 또는 이에 준하는 단체’를 위하여 외국 등의 지령ㆍ사주, 그 밖의 의사 연락 하에 국가기밀을 탐지ㆍ수집ㆍ누설ㆍ전달ㆍ중개하거나 이를 방조한 자를 3년 이상의 유기징역에 처하도록 하는 규정을 신설하였습니다.         ▶ 이번 개정의 핵심은 간첩죄 적용 대상을 기존 ‘적국’에서 ‘외국 또는 이에 준하는 단체’로 확장한 점입니다. 이에 따라 특정 적대국을 전제로 하지 않더라도 외국 또는 이에 준하는 외국 기업에 대한 국가기밀 유출 행위가 형법상 간첩죄로 평가될 수 있게 되었습니다.     ■ 구성요건의 포섭 범위 확대         ▶ 그간 산업 스파이 행위는 「산업기술의 유출방지 및 보호에 관한 법률」, 「국가첨단전략산업 경쟁력 강화 및 보호에 관한 특별조치법」, 「방위산업기술 보호법」, 「부정경쟁방지 및 영업비밀보호에 관한 법률」 등 개별 특별법이 정한 기술로 인정되고, 개별 법률이 정하는 구체적 행위 유형에 해당하는 경우에 한하여 처벌되어 왔습니다.         ▶ 반면, 개정된 형법상 간첩죄는 대상 정보를 국가기밀로 규정하여 구성요건이 보다 포괄적으로 명시되었고, 그 위반 행위 또는 취득에 이르기 전 단계인 탐지나 중개 행위만으로도 처벌되도록 규정하여 그 처벌 범위가 확대되었습니다. 4. 시사점 및 기업 대응 방향     ■ 종전에는 형법상 간첩죄가 ‘적국’을 전제로 규정되어 외국 기업 등을 위한 기술 유출 행위에 직접 적용되지 않았으나, 이번 개정으로 ‘외국 또는 이에 준하는 단체’를 위한 국가 산업 기밀 유출 행위를 처벌 대상으로 포함하였습니다.     ■ 향후 수사기관이 전담 수사 체계를 정비하고 형법상 간첩죄를 적극적으로 적용할 경우, 기술 유출 사안은 단순한 기업 간 분쟁을 넘어 국가 안보 범죄의 관점에서 다루어지면서 수사의 범위와 강도가 확대될 가능성이 있습니다.     ■ 특히 기술 유출 범죄의 특성상 압수수색 등 강제수사를 통한 신속한 증거 확보가 이루어지는 경우가 많고, 국가 안보 관련 사안으로 평가될 경우 영장 발부의 필요성이 폭넓게 인정될 가능성이 있습니다. 이에 따라 피해 기업인 경우 수사기관과의 긴밀한 협력과 법률 대응 전략 체계를 갖출 필요가 있습니다.     ■ 따라서 기업은 해외 사업 구조, 기술 협력 모델, 연구개발 인력 관리 체계 전반을 선제적으로 점검하고, 단순한 보안 강화 차원을 넘어, 연구 인력 이직 시 자료 반출 통제, 기술 자산의 법적 성격에 대한 사전 진단 등 종합적인 리스크 관리 체계를 구축할 필요가 있습니다. 법무법인(유)광장은 국가 보안, 산업 기술 유출, 영업비밀 침해 사건을 비롯한 중대 형사 사건에 대한 풍부한 자문 및 수사 대응 경험을 바탕으로, 이번 간첩죄 개정에 따른 형사 리스크 분석 및 대응 전략 수립에 있어 전문적인 역량을 보유하고 있습니다. 본 개정안과 관련하여 기업 내부 통제 체계 점검, 수사 대응 전략 수립, 임직원에 대한 형사 리스크 검토 등이 필요하신 경우, 언제든지 법무법인(유)광장 형사그룹으로 문의하여 주시기 바랍니다.

Selected 2026 Amendments to Tax Laws and related Presidential Decrees (International Taxation)
In December 2025, the National Assembly enacted tax law amendments that had previously been proposed by the Ministry of Economy and Finance (MOEF). These included amendments to the Corporate Income Tax Law (CITL), Individual Income Tax Law (IITL), International Tax Coordination Law (ITCL) and Restriction of Special Taxation Law (RSTL), National Tax Basic Law (NTBL), among others. On January 16, 2026, the MOEF published proposed amendments to the Presidential Decrees(1) to the tax law, including the Presidential Decrees to the CITL (CITL-PD), IITL (IITL-PD), ITCL (ITCL-PD) and RSTL (RSTL-PD) and NTBL (NTBL-PD), among others. Presidential Decrees are regulations published by the MOEF to elaborate details or specify matters prescribed in the tax law. Unlike tax law amendments, the amendment to the Presidential Decree were promulgated and entered into force in February 27, 2026, following the public notice and comment period, January 19 to February 5, 2026, and the completion of deliberations at the Vice Ministers’ Meeting and the State Council. The key items of this reform package relating to international taxation and cross-border investments are summarized below. Unless otherwise stated, all changes are effective as of the date of promulgation by the MOEF 1. Improvement to the Application Method for Foreign Tax Credits on Indirect Investments     ① Revised Method for Individual Investors (2)         For individual investors that are subject to comprehensive taxation, the IITL amendments introduce a new method for applying for foreign tax credits in respect of indirect investments (e.g. investments through a fund). Previously, if an individual earned foreign income indirectly, their foreign tax credit was calculated using a formula based on their Korean tax rate. This often limited the credit.         But under the new rule prescribed in the IITL amendments, the foreign tax credit is based on the actual foreign tax already paid or withheld, adjusted using specific adjustment factors. (3)     ② Rationalization of the Foreign Tax Credit Mechanism for Corporate Investors (4)         Previously, under the CITL, indirect foreign income taxes were not included in the company’s taxable income or in the foreign tax credit limit calculation. Because of this, a Korean company effectively could not fully claim credit for those foreign income taxes. Specifically, the limitation was calculated as: [Korean corporate income tax liability x (Total income received from funds / taxable base)]. Because indirect foreign income taxes were not included in either the taxable base or the limitation formula, they were not appropriately reflected in determining the allowable credit.         To address this structural issue, the CITL amendments introduced a new provision(5) requiring that indirect foreign income taxes eligible for credit be included in gross income and, consequently, reflected in the taxable base. In addition, the foreign tax credit limitation formula has been amended(6) as follows: [Korean corporate income tax liability x (Total income received from funds + Indirect foreign income tax) ÷ Taxable base)]. This amendment ensures that indirect foreign income taxes are appropriately taken into account in calculating the foreign tax credit limitation. 2. Introduction of a Penalty for Failure to Submit Foreign Company’s Liaison Office Status Report (7)     The obligation for foreign companies to submit an annual information report regarding the status of their liaison offices was introduced in 2022.(8) However, the absence of specific sanctions for non-compliance has limited the effectiveness of the regime, as instances of non-compliance have been frequent.     The CITL amendments contain a new provision to strengthen enforcement,(9) whereby the tax authority may issue a corrective order to a foreign company that fails to submit a liaison office status report with the requisite details, or that submits false information. Non-compliance with such an order can result in an administrative penalty of up to KRW 10 million. 3. Expansion of the Tax Base and Refinement of the Exit Tax Regime (10)     Under the IITL, exit tax(11) is a deemed capital gains tax on certain Korean company shares held by a Korean resident at the time of his/her permanent departure, when the individual ceases to be a Korean tax resident and satisfied specified requirements.     In light of the increasing volume of overseas equity investments by Korean residents, the scope of the exit tax was broadened to include foreign company shares under IITL amendment. The detailed taxation requirements and scope of applicable foreign shares have been delegated to the IITL-PD.     Specifically, the amended IITL-PD(12) provides that the following foreign company shares shall be excluded from exit tax regime: 1) foreign shares held by the departing resident where the total value does not exceed KRW 500 million at the time of departure; 2) foreign shares held by a foreign national working in Korea, provided that the foreign national was physically present and working in Korea for at least 80% of the worker’s Korean residence period during the ten years preceding the date of departure; and 3) foreign shares acquired by the foreign national’s spouse and under-age children prior to the commencement of the foreign national’s period of working in Korea. Items (2) and (3) apply only where the foreign national departs Korea within six months from the termination date of his or her employment in Korea).     The IITL-PD amendments(13) also further clarify the method for determining the deemed transfer value of foreign company shares subject to exit tax regime: 1) the listed shares are valued at the legally prescribed benchmark value per IITL; and 2) unlisted shares are valued based on a weighted average of the net profit value (3) and net asset value (2) per share.(14)     These amendments will apply to individuals departing Korea on or after January 1, 2027. 4. Enhancements to the Global Minimum Tax Regime and Introduction of the Domestic Minimum Top-up Tax (“DMTT”)     In response to the OECD Pillar Two framework, Korea introduced the Income Inclusion Rule (IIR) and the Under-taxed Payments Rule (UTPR) through earlier amendments to the ITCL promulgated on December 31, 2022. The IIR has applied from January 1, 2024; and the UTPR has applied from January 1, 2025.     In the 2025 ITCL amendments, the DMTT was also introduced.(15) In parallel, the Presidential Decree Amendments to the ITCL further refine and align Korea’s global minimum tax framework. In particular: (i) the domestic rules have been aligned with the OECD Global Anti-Base Erosion (GloBE) Model Rules and accompanying Commentary; (ii) the deadline for applying the transitional Country-by-Country Reporting (CbCR) safe harbor was extended, reflecting the OECD administrative guidance (until January 5, 2026); and (iii) detailed calculation methods and procedural requirements for the implementation of the DMTT have been set out. A detailed summary of the relevant amendments are as follows.     A. Complementing the Global Minimum Tax Framework(16)         The ITCL-PD has been amended to align more closely with the GloBE Model Rules and accompanying Commentary. The key amendments are summarized below:         1) Amendment to Art. 101 of the ITCL-PD clarifies the method for determining whether the consolidated revenue threshold is met after a merger. Where a standalone company merges with a corporate group, the company’s turnover must be aggregated with the group’s consolidated revenue for the purposes of assessing the threshold.         2) Amendments to Arts. 111(1) and (2) of ITCL-PD expand the scope of allocation of top-up tax to include entities that are not Constituent Entities (CEs) of the multinational enterprise (MNE) group but are nonetheless subject to the adjusted covered taxes.         3) Amendment to Art. 111(1)(3) of ITCL-PD clarifies that, where the jurisdiction of establishment does not operate a corporate income tax system, hybrid entity rules also apply to entities that are not treated as taxable entities under Art. 108(2) of ITCL-PD.         4) New provisions in Arts. 111(3) and (4) of ITCL-PD introduce a method for allocating accounting deferred tax expenses of a CE for the purposes of calculating adjusted covered taxes. The rules clarify how deferred tax expenses may be allocated or excluded in determining adjusted covered taxes.         5) Amendment to Art. 119 of ITCL-PD amends the terminology used in calculating the current additional top-up tax under Art. 40(4) of the ITCL. The previous references to “estimated adjusted covered tax” and “adjusted covered tax” are replaced with “estimated aggregate amount of adjusted covered taxes” and “aggregate amount of adjusted covered tax” to ensure greater clarity and consistency.         6) Amendment to Art. 125-2 of ITCL-PD clarifies the statutory allocation method among domestic CEs in respect of top-up tax allocated under the UTPR, specifying the allocation ratio by reference to the location of the ultimate parent entity (UPE).         7) Amendment to Art. 133(1) of ITCL-PD refines the terminology applicable to deductions from GloBE income where the UPE is a flow-through entity. The phrase “tax resident in the UPE’s jurisdiction” is replaced with “established and operated in the UPE’s jurisdiction” to better reflect the legal status of such entities.         8) Amendment to Art. 139 of ITCL-PD revises the method for calculating the total deferred tax adjustment amount for the first year of application and subsequent fiscal years, thereby enhancing consistency in the operation of the regime     B. Extension of the Transitional CbCR Safe Harbor(17)         1) The ITCL-PD amendments will also extend the application period of the transitional CbCR safe harbor. This safe harbor deems that no top-up tax is payable where the simplified effective tax rate (ETR), calculated based on CbCR data under the simplified methodology, meets the prescribed threshold (15–17%). The deadline for applying the Transitional CbCR Safe Harbor has been extended by one year, to fiscal year beginning before December 31, 2027 and ending before June 30 and the applicable simplified ETR threshold for the extended period has been set at 17%. Additionally, the exemption from the UTPR, which provides that no UTPR top-up tax is allocated where the statutory corporate tax rate in the UPE’s jurisdiction is at least 20%, has also been extended. This exemption applies to fiscal years beginning before December 31, 2025 and ending before December 30, 2026.     C. Introduction of the DMTT         The ITCL-PD amendments also introduce DMTT in line with the OECD GloBE Model Rules and related administrative guidance. The DMTT is intended to meet the requirements as a Qualified DMTT (QDMTT) under the OECD Inclusive Framework, subject to peer review and approval. The amount of QDMTT is calculated as follows: [Minimum tax rate (15%) – ETR of domestic CEs] x Excess profit (Net GloBE income – Substance Based Income) + Current Additional Top-up Tax. Given that Korea’s statutory corporate income tax rate ranges from 10% to 25%, exclusive of local taxes, under the CITL amendments, it is not anticipated that a significant number of domestic corporations will fall below the 15% minimum rate. However, where the ETR is reduced due to tax incentives, exemptions, or credits, the DMTT may become applicable. In such cases, the QDMTT will take precedence over the IIR and the UTPR.         A detailed summary of the ITCL-PD amendments are summarized below:         1) Calculation of Adjusted Covered Taxes for Purposes of the Domestic Top-up Tax (DMTT)(18) In determining the DMTT, the calculation of adjusted covered taxes generally follows the methodology prescribed under the GloBE framework. However, certain covered taxes allocated to a domestic CE from foreign CEs for the purposes of the GloBE calculation are excluded when computing the DMTT.             The specific scope of such exclusions has been delegated to the ITCL-PD. Under the ITCL-PD amendments, the following covered taxes are excluded from the calculation of adjusted covered taxes for DMTT purposes: (i) covered taxes recorded by a foreign head office that are attributable to income derived by a domestic permanent establishment (PE); and (ii) covered taxes recorded by a foreign shareholder CE that are attributable to: 1) income of hybrid entities that are domestic CEs; 2) dividend income received from domestic CEs; and 3) Income of domestic CEs treated as controlled foreign corporations (CFCs).         2) Scope of Permanent Establishments (“PEs”) Subject to the DMTT(19)             The scope of PEs subject to the DMTT, particularly in the case of a stateless or flow-through entity deemed not to have a jurisdiction of residence, has been delegated to the ITCL-PD. Under the ITCL-PD amendments, where the head office conducts business in Korea through a “Type 4 PE” (a PE whose income is not subject to taxation in any jurisdiction), the DMTT will be computed separately with respect to that PE.         3) Statutory Apportionment of DMTT Among Domestic CEs(20)             The DMTT attributable to an MNE group may be allocated among domestic CEs either through a statutory allocation method or a designated allocation method.             The detailed statutory allocation rules have been delegated to the ITCL-PD. Under the ITCL-PD amendments: (i) in principle, the DMTT is allocated in proportion to the GloBE income of each domestic CE; and (ii) where there is no net GloBE income for the relevant fiscal year, but DMTT arises due to accumulated adjustments, the allocation is determined as follows: 1) where the ETR and DMTT are recalculated for a prior fiscal year, the additional domestic tax is allocated based on the GloBE income of each CE for that prior year; and 2) where the adjusted covered tax amount is lower than the estimated adjusted covered tax amount and the difference is treated as additional DMTT, the tax is allocated in proportion to the difference calculated for each CE         4) Reporting and Payment of DMTT(21), Calculation of GloBE Top-up Tax that apply to other DMTT(22), and Other Special Rules(23)             The reporting and payment procedures applicable to the allocation of the DMTT follow the same framework as that applicable to the allocation of top-up tax under the global minimum tax regime.             In addition, the methods for calculating covered taxes, adjustments to covered tax, and determining the ETR follow the same methodology as that used for the calculation of top-up tax for global minimum tax purposes. Various special provisions applicable to the global minimum tax (such as the de minimis exclusion, special rules for minority-owned entities, investment CEs, and joint ventures, as well as applicable exclusions) also apply to the DMTT. 5. Introduction of a Domestic Investment Income Exemption for the Bank for International Settlements (“BIS”) (24)     BIS is an international financial institution established to promote cooperation among central banks worldwide. Funds deposited with the BIS by national central banks and international organizations are invested and managed in assets of major jurisdictions. At present, the BIS invests in Korean government bonds and monetary stabilization securities (treasury bills), which are exempt from Korean taxation.     To support the BIS’s expansion of KRW-denominated investments, the BIS’s domestic investment income (interest, dividends, securities transfer gains, and other income) is now included within the scope of tax exemption applicable to interest income from international financial transactions.(25)     The RSTL-PD amendments (Art. 18) further delegates detailed matters, including the scope of eligible international financial organizations, the specific categories of exempt income, the application procedure for exemption, and the process for claiming such exemption. Specifically: 1) “Other income” eligible for exemption is limited to income derived from economic benefits related to domestic assets under Art. 93(10) k) of the CITL; 2) the application procedure for exemption follows the existing procedure applicable to interest and transfer income from government bonds earned by foreign corporations; and 3) the claim procedure for exemption follows the procedure applicable to treaty-based tax exemptions for foreign companies. 6. Introduction of Special Tax Treatment for In-kind Contribution of Shares in a Foreign Company (26)     To support the overseas business restructuring of domestic corporations, the amended RSTL introduces a tax deferral mechanism for capital gains arising from the in-kind contribution of shares in a foreign company by a domestic corporation to another foreign company. Under this provision, where a domestic corporation that has been in business for at least five years makes an in-kind contribution of shares or equity interests in a foreign subsidiary in which it holds at least 20% to a foreign corporation in which it holds at least 80%, taxation of the capital gains arising from the transaction is deferred for 4 years. The deferred capital gains are then included in taxable income in equal installments over the subsequent 3 years.     Detailed matters including the method for calculating the deferred capital gain and the circumstances triggering termination of the deferral (such as a subsequent disposal of the contributed shares) have been delegated to the RSTL-PD amendments. Under the amended RSTL-PD, where shares acquired through the in-kind contribution are subsequently disposed of, the amount to be included in taxable income is calculated as follows:     Capital gains from the in-kind contribution not yet included in taxable income as of the end of the previous fiscal year × (Number of shares disposed of during the fiscal year ÷ Number of shares held at the end of the previous fiscal year that were acquired through the in-kind contribution).     In addition, the tax deferral will be terminated where: (i) the transferee disposes of more than 50% of the shares in the foreign corporation acquired through the in-kind contribution; or (ii) the contributing company’s ownership interest in the transferee falls below 50%. In such cases, the entire remaining balance of the deferred capital gain that has not yet been included in taxable income will be recognised as income in the relevant fiscal year. 7. Clarification of the Criteria for Recognizing an “Agent PE” (27)     The IITL-PD and CITL-PD amendments align the criteria for recognizing an Agent PE with OECD standards. In particular, the requirement has been revised from referring to “an independent agent that conducts a significant portion of its business primarily for a specific foreign corporation” to “an independent agent that conducts a significant portion of its business wholly or almost wholly for a related party.” 8. Streamlining Documentation for Claims of Exemption on Interest and Capital Gains from Government Bonds (28)     The CITL amendments simplifies the documentation requirements for non-residents and foreign companies seeking tax exemption on interest and capital gains derived from government bonds. In particular, the former “Application for Tax Treaty Exemption or Reduction” has been renamed the “Tax Treaty Exemption Claim Form for Interest and Capital Gains on Government Bonds.” In addition, the revised rules permit the submission of alternative documentation demonstrating non-resident or foreign company status in lieu of the previously required certificate of residence.     This amendment applies to claims filed on or after the effective date of the revised provisions. 9. Expansion of the Scope of Partial Tax Audits in Relation to Advance Pricing Agreements (“APAs”) (29)     Previously, where an application for an APA is submitted prior to the notification of a tax audit, the audit may be suspended solely with respect to the transfer pricing aspects of the relevant international transactions for the period covered by the APA application.(30) The NBTL-PD amendments expanded the scope of partial tax audits in order to enhance the effectiveness of tax audit with respect to the APA implementation. Under the amended NBTL-PD, even where an APA application is subsequently cancelled, withdrawn, or the review process is suspended after submission, the tax authorities may conduct a partial tax examination in respect of the matters covered by the APA application.     This measure will apply to tax audits initiated on or after the effective date of the amended NBTL-PD (expected to be in the last week of February 2026, since it takes effect immediately upon promulgation). 한국피자헛, 맘스터치에 대한 차액가맹금 소송 관련 대법원의 상반된 결론
2026년 1월, 한국피자헛과 맘스터치 가맹본부를 상대로 가맹점사업자들이 제기한 부당이득반환소송에 대한 대법원 판결이 선고되었습니다. 두 사건 모두 가맹본부가 원·부재료 공급 과정에서 가맹점사업자로부터 수취한 금원(차액가맹금) 또는 가격 인상분의 정당성이 문제되었으나, 피자헛 사건에서는 가맹본부의 부당이득 반환 책임이 인정된 반면, 맘스터치 사건에서는 가맹본부의 부당이득 반환 책임이 부인되는 상반된 결론이 도출되어 주목을 받고 있습니다. 두 판결의 결론을 달라지게 한 핵심 쟁점은 가맹본부가 가맹사업과 관련한 원·부재료 공급 과정에서 차액가맹금 또는 가격 인상에 대하여 묵시적 합의 내지 동의가 이루어졌는지 여부였습니다. 이하에서 구체적인 사안의 진행 경과 및 그 시사점을 살펴보겠습니다. 1. 한국피자헛 사건(대법원 2026. 1. 15. 선고 2024다294033 판결) : 명시적·묵시적 합의 부존재를 이유로 가맹본부의 부당이득 반환 책임 인정     이 사건에서 가맹점사업자들은 2016년부터 2022년까지 원·부재료 공급 대금에 포함된 차액가맹금이 법률상 원인 없이 지급되었다며 부당이득 반환을 청구하였습니다. 원심은 가맹계약서에 차액가맹금 수취 근거가 명시되어 있지 않고, 당사자 사이에 그 지급에 관한 명시적·묵시적 합의도 인정하기 어렵다고 보아 원고들의 청구를 일부 인용하였고(서울고등법원 2024. 9. 11. 선고 2022나2024467 판결), 대법원은 원심 판결을 인정하여 가맹본부의 상고를 기각하였습니다.     본 소송에서는 ① 차액가맹금 수취에 관한 합의 여부(부당이득 반환 청구권 성립 여부) 및 ② 부당이득 반환의 범위가 주요 쟁점이 되었고, 사건의 소송 경과는 다음과 같습니다.   2. 맘스터치 사건(대법원 2026. 1. 29. 선고 2025다217179 판결) : 공급가격 인상에 대한 사후적·묵시적 동의가 있다고 보아 가맹본부의 부당이득반환 책임 부정     이 사건에서 가맹점사업자들은 가맹본부가 2020년 및 2022년 두 차례 원·부재료(패티, 소스 등) 공급가격을 인상한 것이 가맹계약상 요건을 충족하지 못하였다는 이유로, 인상분 상당액의 부당이득 반환을 청구하였습니다. 1심 및 원심은 가격조정의 필요성은 가맹본부의 경영상 판단 영역에 속한다고 보면서, 가격 인상의 필요성이 인정되고, 협의 관련 절차적 하자가 경미하여 무효에 이른다고 보기 어렵다고 보아 원고들의 청구를 모두 기각하였습니다(서울고등법원 2025. 8. 21. 선고 2024나2048856 판결 등). 그리고 대법원은 원심 판결의 경우 일부 법리 오해가 있으나(협의 관련 절차 위반은 무효), 가맹점사업자의 사후적·묵시적 동의가 인정되는 한 부당이득으로 보기 어렵다는 결론은 타당하다고 보아 원고들의 청구를 모두 기각하였습니다.     맘스터치 사건의 소송 경과는 다음과 같습니다.   3. 시사점 및 대응 방안     두 판결은 차액가맹금 또는 원·부재료 공급가격과 관련된 분쟁에서 가맹계약 문언과 당사자 간 합의 여부가 핵심 판단 기준이 된다는 점을 분명히 보여줍니다. 다만, 맘스터치 사건의 경우 법원이 차액가맹금 수취 여부 및 그 정당성 자체에 대한 판단을 진행하였다고 보기는 어렵습니다. 즉, ‘차액가맹금’ 자체에 대한 부당이득 반환을 청구하여 심리가 이루어진 피자헛 사건과 달리, 맘스터치 사건은 가맹본부의 ‘원·부재료 공급가격 인상분’에 대한 실체적∙절차적 정당성을 심리하였다는 점에서 두 사건을 완전히 동일한 사안이라고 보기는 어려울 것으로 해석됩니다.     그러나 양 대법원 판결은 가맹본부가 가맹사업과 관련하여 가맹점사업자로부터 일정한 대가를 수취하는 과정에서의 중요한 판단 기준을 제시하고 있습니다. 특히 ‘차액가맹금’의 경우, 계약상 명시적 근거 또는 구체적인 합의가 존재하지 않으면 그 수취의 정당성이 인정되기 어려울 수 있으며, 단순한 정보공개서 기재만으로는 차액가맹금 수수에 관한 합의(법률상 원인)가 존재한다는 점을 인정받기 쉽지 않을 것으로 생각됩니다. 나아가 공급가격 조정이 문제되는 경우에도 가맹계약상 가격 조정의 요건 및 협의 절차를 사전에 마련하고, 이를 준수하였다는 사정을 입증하지 못할 경우 가맹점사업자와의 사이에서 조정 내용이 무효가 될 우려가 있음을 주의할 필요가 있겠습니다.     따라서 가맹본부로서는 차액가맹금, 원·부재료 공급가격, 가격 조정 근거 및 절차 등 주요 거래 조건을 가맹계약서에 명확히 규정하고, 이후 가격 변경이나 거래 조건 변동이 발생하는 경우 변동의 필요성이 발생한 사정에 대한 객관적인 소명 자료, 관련 계약에서 정한 절차를 충실히 이행한 기록 등을 확보하여 둘 필요가 있습니다.     나아가 이번 피자헛 사건의 대법원 판결을 기화로 향후 차액가맹금 반환 소송이 확대될 가능성이 있는 만큼, 개별 사건에서는 피자헛 사건과의 사실관계 차이를 중심으로 명시적 내지 묵시적 합의 존재 및 절차 준수 여부를 구체적으로 입증하는 대응이 중요할 것으로 판단됩니다. 또한, 가맹계약서 등에 차액가맹금 등 일정한 금원의 수수가 명시되어 있으나 그 인상 등에 관하여 다툼이 발생하는 경우, 맘스터치 사건을 참고하여 가맹계약서 기재 요건 및 가맹점사업자와의 관련 협의 사항 등 구체적인 사정을 면밀히 검토한 후, 그 필요성 내지 정당성을 주장하는 대응 방안을 적극 검토하실 필요가 있겠습니다. 법무법인(유) 광장 공정거래그룹은 가맹사업 규제 및 관련 판례 동향을 지속적으로 모니터링하면서 가맹사업 관련 이슈 검토가 필요한 국내·외 고객께 가장 최신의 심층적인 법률 자문 서비스를 제공하고 있습니다. 이와 관련하여 궁금한 점이 있으시면 언제든지 법무법인(유) 광장 공정거래그룹으로 연락 주시기 바랍니다.

자기주식 소각 의무화에 대한 3차 개정상법 통과
자기주식 의무소각을 핵심 내용으로 하는 상법 일부 개정안(개정법)이 2026. 2. 25. 국회 본회의를 통과하였습니다. 개정법은 2025. 11. 25. 더불어민주당 ‘코스피 5000 특별위원회’ 위원장 오기형 의원이 대표 발의한 상법 일부개정법률안(의안번호 2214519) 등 14개의 상법 개정안에 대해 국회 법제사법위원회 법안심사제1소위원회 논의를 거쳐 정리된 대안입니다. 개정법은 (i) 자기주식에 의결권이나 배당청구권 등의 권리가 없음을 명시하고, 자기주식을 교환 또는 상환 대상으로 하는 사채의 발행이나 자기주식에 대한 질권 설정을 일률적으로 금지하는 등 자기주식의 법적 성격과 활용 제한을 규정하고 있고(제341조의3), (ii) 자기주식의 1년 내 원칙적 소각을 규정하고 일정한 예외 사유가 있는 경우에는 ‘자기주식 보유처분계획’을 주주총회에서 승인하도록 하며(제341조의4), (iii) 자기주식의 취득 사유에 관계없이 이사회 결의로 소각할 수 있도록 하고(상법 제343조), (iv) 자기주식 처분에 신주발행 규정 준용을 명시하여 원칙적으로 각 주주가 가진 주식 수에 따라 균등한 조건으로 처분하도록 하는 내용(제342조)을 골자로 하고 있습니다. 개정법은 정부 이송 및 국무회의 등의 절차를 거쳐 공포될 경우 그 공포일부터 즉시 시행됩니다(부칙 제1조). 1. 자기주식의 활용 제한 강화     1) 개정법의 내용         개정법은 자기주식에 관하여 의결권, 신주인수권, 배당청구권 등을 비롯하여 주주권이 없다는 점을 명시하면서(제341조의3 제1항), 자기주식을 교환 또는 상환 대상으로 사채를 발행하지 못하고, 질권의 목적이 될 수 없다고 규정하여 자금조달 목적의 자기주식 활용을 제한하고 있습니다(제341조의3 제2항 및 제3항). 아울러 회사의 합병, 분할 및 분할합병 시 자기주식에 대한 신주 배정을 금지하였습니다(제529조의2 및 제530조의13).     2) 시사점         기존법상으로는 자기주식에 대한 의결권(제369조 제1항) 및 배당청구권만이 인정되지 않았는데, 개정법은 자기주식을 활용한 사채 발행, 질권 설정 등을 통한 일체의 자금조달을 금지하고 상장 여부를 불문하고 합병, 분할 및 분할합병 시 자기주식에 대한 신주 배정 금지를 명시함으로써 자기주식의 활용 범위 제한을 강화하였습니다. 특히 개정법 시행 후에는 최근 사례가 많았던 자기주식을 기초로 하는 교환사채의 발행 역시 금지됩니다.         금번 개정에 따라 회사들은 기존의 자금조달 및 구조재편 계획을 면밀히 재검토하여 자기주식 활용 제한 규제와 상충되는 부분에 대하여 대안적인 방안을 마련해 둘 필요가 있습니다. 2. 자기주식 의무소각     1) 개정법의 내용         개정법에 의하면, 회사가 취득한 자기주식은 원칙적으로 1년 내에 의무소각하여야 합니다. 그러나 아래와 같이 일정한 사유가 존재하는 경우에는 예외적으로 자기주식을 소각하지 않고 보유 또는 처분할 수 있습니다.             1) 회사가 각 주주에게 그가 가진 주식 수에 비례하여 균등한 조건으로 처분하는 경우             2) 회사가 제340조의2 또는 제542조의3에 따라 주식매수선택권을 부여하는 등 임직원 보상의 목적으로 활용하는 경우             3) 회사가 「근로복지기본법」에 따라 우리사주매수선택권을 부여하는 등 우리사주제도 실시의 목적으로 활용하는 경우             4) 회사가 제360조의2 제2항, 제360조의15 제2항, 제523조 제3호 등 법령이 정하는 바에 따라 활용하는 경우                 ※ 상법은 주식의 포괄적 교환, 이전이나 흡수합병을 할 때에 신주 교부에 갈음하여 자기주식 이전을 허용하고 있는데, 이와 같이 법령이 자기주식 활용을 허용한 경우를 말하는 것으로 해석됩니다.             5) 회사가 신기술의 도입, 재무구조의 개선 등 회사의 경영상 목적을 달성하기 위하여 필요한 경우로서 제434조에 따른 주주총회의 결의로 정관에 그 사유를 규정한 경우         다만, 이처럼 예외적으로 자기주식을 보유 또는 처분하기 위해서는, 예외 사유에 해당되어야 할 뿐만 아니라, 이사회에서 자기주식 보유처분계획을 작성하여 주주총회 승인을 받고, 그 이후에도 매년 주주총회에서 갱신 승인을 받아야 합니다. 이러한 자기주식 소각/처분 규제를 위반한 경우 이사 개인에게 5천만 원 이하의 과태료가 부과될 수 있습니다(제635조 제3항 제9호 및 제10호).         참고로 위 자기주식 보유처분계획에는 (i) 자기주식의 보유 또는 처분 목적, (ii) 보유/처분 대상인 자기주식 종류와 수, 취득 방법, (iii) 보유 개시 시점 및 처분 예정 시점을 기준으로 ① 자기주식 종류와 수, 취득 방법, ② 발행주식 총수에서 자기주식을 제외한 나머지 주식의 종류와 수 및 ③ 발행주식 총수 대비 자기주식 비율의 변화, (iv) 예정된 보유 기간, (v) 예정된 처분 시기(제341조의4 제4항)를 각 기재하여야 합니다.     2) 시행 시기 및 경과조치         개정법은 공포 즉시 시행되고, 회사가 기존에 이미 보유하고 있는 자기주식에 대해서도 개정법 시행 이후 새로 취득한 자기주식과 동일한 소각 의무가 부과됩니다. 다만, 기존에 취득한 자기주식에 대하여는, (i) 기존에 직접 취득한 자기주식은 시행일로부터 6개월째 되는 날부터, (ii) 신탁업자를 통해 간접 취득한 자기주식은 시행 후 회사가 수탁자로부터 자기주식을 반환받은 날부터 각각 의무소각 기간(1년)이 기산됩니다(부칙 제1조, 제2조 제1항 제1호 및 제2호).         한편, 외국인투자 제한 규정을 적용받는 기업은 외국인의 추가적인 주식 취득이 없음에도 자기주식 소각으로 외국인 보유 지분율이 상승하여 관련 법령을 위반하게 될 수 있다는 점을 고려하여, 2026. 2. 법제사법위원회 법안심사제1소위원회 심사 과정에서 아래에 해당하는 기업에는 개정법 시행 당시 보유하는 자기주식을 각 제한 규정을 준수하기 위하여 필요한 범위 내에서 시행일로부터 3년 내 처분하거나 주주총회의 승인을 얻은 자기주식 보유처분계획에 따라 보유 또는 처분할 수 있다는 예외 규정이 추가되었습니다(부칙 제2조 제2항).             1. 항공운송사업자(항공안전법 제10조 제1항 제4호)             2. 공공적 법인(자본시장과 금융투자업에 관한 법률 제168조 제1항)             3. 한국가스공사, 한국공항공사(공기업의 경영구조개선 및 민영화에 관한 법률 제19조)             4. 유선방송사업자, 위성방송사업자, 방송채널사용사업자, 전송망사업자(방송법 제14조)             5. 신문사업자(신문 등의 진흥에 관한 법률 제13조 제4항 제3호)             6. 회선설비보유기간통신사업자(전기통신사업법 제8조 제1항)             7. 인터넷멀티미디어방송 제공사업자 및 콘텐츠사업자(인터넷멀티미디어방송사업법 제9조 제1항, 제2항)     3) 시사점         자기주식에 대하여 소각 의무가 없었고 그 처분을 이사회 승인으로 가능하도록 하여 자기주식을 투자 내지 자금조달 수단으로 자율적으로 활용할 수 있었던 기존법과 달리, 개정법은 자기주식의 보유 및 처분에 대한 판단 권한을 주주총회로 이관하였고 보유가 가능한 사유도 제한적으로 열거하였습니다.         이에 따라 자기주식을 보유하고 있는 회사들은 자기주식에 대한 소각 및 처분 계획을 신속히 수립할 필요가 있습니다. 특히 기존에 회사가 보유한 자기주식의 경우 시행일로부터 6개월째 되는 날(직접 보유) 또는 시행일 이후 수탁자로부터 반환받은 날(수탁자 통한 간접 보유)로부터 1년의 의무소각 기간이 기산되는 점을 고려하여, 2026년 또는 2027년의 주주총회에서 (i) 자기주식 보유처분계획을 승인받는 방안 및 (ii) “신기술의 도입, 재무구조의 개선 등 회사의 경영상 목적을 달성하기 위하여 필요한 경우” 자기주식 처분이 가능하도록 정관을 개정하는 방안과 그와 관련한 세부적 일정에 대하여 면밀한 검토가 이루어져야 하겠습니다. 3. 자기주식 소각 절차 일원화     1) 개정법         기존 상법 제343조 제1항 단서는 이사회 결의에 의하여 회사가 보유하는 자기주식을 소각하는 경우에는 감자 절차에 따르지 않는다고 규정하고 있었으나, 이사회 결의로 소각할 수 있는 자기주식의 범위에 대해서는 정하고 있지 않았습니다. 이와 관련하여, 2012. 5. 법무부 유권해석은 배당가능이익으로 자기주식을 취득한 경우에 한하여 이사회 결의에 의해 소각할 수 있다고 보았고, 실무도 그에 따라 특정 목적을 취득한 자기주식 소각은 감자 절차를 거치고 있었습니다.         개정법은 특정 목적으로 취득한 자기주식을 보유한 회사들이 감자 절차에 요구되는 주주총회 특별결의와 채권자 보호 절차를 거치지 못할 경우 의도치 않게 법 위반 상태에 놓일 수 있다는 점을 고려하여, 2026. 2. 법제사법위원회 법안심사제1소위원회 심사 과정에서 회사가 보유한 자기주식은 그 취득 사유에 관계없이 이사회 결의로 소각할 수 있다는 개정을 추가하였습니다(제343조 제1항 단서). 이에 따라, 배당가능이익으로 취득하였는지 여부와 무관하게 모든 자기주식 소각은 감자 절차를 거치지 않고 이사회 결의로 가능하도록 그 절차가 일원화되었습니다.     2) 시사점         금번 개정에 따라 합병, 영업양수, 주식매수청구권 행사 등 특정 목적으로 취득한 자기주식에 대해서는 감자 절차를 거쳐 소각하였던 기존 실무가 변경될 것으로 보입니다. 특정 목적으로 취득한 자기주식을 보유한 회사들의 경우 주주총회 특별결의 부결 가능성 및 채권자 이의에 따른 변제나 상당한 담보 제공 부담 등에 대한 우려의 목소리가 있었는데, 취득 사유를 불문하고 이사회 결의로 소각할 수 있게 됨에 따라 개정법상 기한 내 소각에 특별한 법률적 장애는 없어진 것으로 사료됩니다. 4. 자기주식 처분 시 신주발행 규정 준용     1) 개정법         기존 상법 하에서는 취득과 달리 자기주식 처분에 대해서는 이사회 결의를 거치도록 하는 것 외에 별다른 절차나 요건에 대한 통제가 없었고, 특정 제3자에 자기주식을 처분하는 경우 제3자 배정 신주발행에 대해 요구되는 실체적, 절차적 요건이 적용되지 아니하였습니다.         그러나 개정법에서는 회사가 자기주식을 처분함에 있어는 원칙적으로 각 주주가 가진 주식 수에 따라 균등한 조건으로 취득하게 하여야 하고, 자기주식 보유처분계획에 따라 특정 제3자에게 자기주식을 처분하는 경우에도 상법 제418조 등 신주발행에 대한 규정을 그 성질에 반하지 않는 범위에서 준용하게 함으로써(제342조 제4항), 신주발행에 준하는 절차와 주주 보호 장치를 자기주식 처분에도 요구하고 있습니다.     2) 시사점         기존 판례는 회사가 제3자에게 경영권 방어 등을 목적으로 우호지분 형성을 위해 경영상 목적 없이 신주를 발행하는 경우 이를 신주발행 무효 사유로 보고 있으나, 자기주식 처분에 대하여는 이러한 법리가 적용되지 않는다는 것이 다수의 판례였습니다. 그러나 개정법에 따를 경우 이제 자기주식 처분도 신주발행에 준하는 엄격한 요건과 절차를 갖추지 못하는 경우에는 그 효력이 부인될 가능성이 높아졌습니다.         포이즌필(Poison Pill) 등 해외에서 인정된 경영권 방어 수단이 허용되지 않는 국내 회사들의 경우, 자기주식의 보유 및 처분이 실질적 경영권 방어 수단으로 활용되어 온 측면이 있었는데, 개정법 시행 시 자기주식 처분을 경영권 방어 수단으로 활용하는 기존의 전략에 제약이 발생할 것으로 보입니다. 따라서 자기주식의 보유 및 처분을 경영권 방어 수단으로 고려하고 있던 회사들의 경우, 현행법상 허용되는 다른 경영권 방어 수단을 선제적으로 검토하고 정관 개정 등을 통하여 이를 도입하는 등의 조치를 검토해 볼 필요가 있을 것입니다. 3차 개정 상법은 단순히 자기주식의 보유, 처분에 대한 실무뿐 아니라, 회사의 자금조달 방법 및 경영권 방어 수단 등과 관련하여 회사의 운영과 기업지배구조에 미치는 영향이 매우 클 것으로 예상됩니다. 따라서 자기주식을 보유하고 있는 회사들은 자기주식의 소각 또는 처분 계획 수립 등을 신속히 준비하여야 하겠고, 특히 경영권 안정화 및 방어에 미치는 영향에 대한 면밀한 분석 및 검토를 진행할 필요가 있습니다. 현재 자기주식을 보유하지 않고 있는 회사들 역시 개정법으로 인해 자기주식과 관련한 취득·보유·처분의 자율성이 크게 제한된 점을 고려하여 향후 경영전략을 노동조합법 시행령 일부개정령안 국무회의 의결 및 개정 노동조합법 해석지침 확정
2026. 3. 10. 시행을 앞두고 있는 개정 노동조합법 및 노동관계조정법(개정 노동조합법)과 관련하여, 원청 사용자와 하청 노동조합 간의 교섭의 구체적인 절차와 방법을 정한 노동조합법 시행령 일부 개정령안이 2026. 2. 24. 국무회의에서 심의·의결되었습니다. 동 개정안은 2026. 3. 10. 개정 노동조합법 시행일에 맞추어 함께 시행될 예정입니다. 또한 고용노동부는 개정 노동조합법 해석지침을 확정하고, 단체교섭판단지원위원회 운영에 관한 사항 등을 포함한 관련 훈령을 제정하는 등 개정 노동조합법의 안정적 시행을 위한 여러 제도 등을 마련하였습니다. 자세한 내용은 다음과 같습니다. 1. 노동조합법 시행령 일부 개정령안의 주요 내용     ■ 교섭단위 분리 기준의 명문화         노동조합법 시행령 개정안은 기존에 법원 판결, 노동위원회 판정 등에서 제시해 오던 요소들을 활용하여 법률에서 위임한 교섭단위 분리·통합 결정 시 고려해야 하는 사항을 구체화하였습니다.         구체적으로, 제14조의11(교섭단위 결정) 제3항에서는 일반적으로 교섭단위 분리·통합 결정 시 적용되는 사항을 규정하고, 제4항에서는 원·하청 관계에서 하청 근로자에 관하여 교섭단위 분리·통합 결정 시에 적용되는 사항을 구분하여 규정함으로써, 기존의 원청 근로자 사이에서의 교섭단위 분리에는 영향이 없음을 분명히 하면서, 원·하청 교섭에서 하청 근로자에 관한 교섭단위 분리 시에는 현장의 구체적 여건에 맞도록 분리될 수 있음을 보다 명시적으로 규정하였습니다.     ■ 원·하청 교섭에도 교섭창구 단일화 적용         노동조합법 시행령 개정안은 원·하청 교섭에도 교섭창구 단일화가 적용됨을 명확히 함으로써, 교섭 전 단계에서 노동위원회가 사용자성 여부를 판단할 수 있고, 사용자성이 인정되는 경우 교섭이 진행되도록 하는 등 교섭 대상과 범위에 대한 불확실성을 줄이고, 노사가 법에 따라 교섭을 준비하고 진행할 수 있도록 하였습니다. 2. 개정 노동조합법 관련 고용노동부 시행 제도 등     ■ 개정 노동조합법 해석지침 확정         고용노동부는 지난 2025. 12. 26.부터 2026. 1. 15.까지 행정예고를 실시한 개정 노동조합법 해석지침을 확정하였습니다. 행정예고된 해석지침(안)에서 정비된 주요 사항은 아래와 같습니다.         - 개정 노동조합법상 ‘사용자’ 판단 요소인 ‘구조적 통제’와 ‘불법 파견’의 차이를 구분할 수 있도록 설명 문구 추가         - 개정 노동조합법상 노동쟁의의 대상이 되는 근로자 ‘배치 전환’이 일상적으로 이루어지는 배치 전환이 아닌 ‘구조조정에 따른 배치 전환’임을 구체적으로 적시     ■ 단체교섭판단지원위원회 운영         고용노동부는 사용자성 등 쟁점에 대한 유권해석을 지원하기 위하여 법률·현장 전문가로 구성된 「단체교섭판단지원위원회」를 운영할 예정이며, 이를 위해 2026. 2. 24. 관련 훈령을 제정하였습니다. 단체교섭판단지원위원회 관련 주요 내용은 아래와 같으며, 유권해석은 2026. 2. 25.부터 신청 가능합니다.         - 다수 의견을 중심으로 판단을 제시하되, 소수 의견도 병기         - 자문 사례 축적·공개를 통해 예측 가능성 제고         - 노동 포털을 통한 질의 창구 개설         이는 개정 노동조합법 시행 초기의 해석 혼선을 최소화하기 위한 일종의 준(準) 판례 축적 시스템으로 기능할 것으로 예상됩니다.     ■ 원·하청 상생교섭 컨설팅 추진         고용노동부는 공공부문을 중심으로 ‘원·하청 상생교섭 컨설팅’을 추진할 예정입니다. 노사 추천을 통해 노조법, 노사관계 등 전문가로 컨설팅팀이 구성될 예정이며, 컨설팅팀은 아래 역할을 할 것으로 기대됩니다.         - 교섭 준비 상황 진단         - 교섭 의제·방식 조율         - 실질적 교섭 촉진         현재 고용노동부는 공공부문을 중심으로 수요를 발굴하여 컨설팅을 진행한다는 입장이고, 이는 향후 민간부문까지 확대될 가능성이 있으며, 정부 주도의 표준 교섭 모델 형성으로 이어질 가능성도 있다고 생각됩니다.     ■ 기타         그 외에도 고용노동부는 개정 노동조합법이 현장에서 안정적으로 정착할 수 있도록 법 시행 이후에도 ▴해석지침의 현장 적용 과정에서 제기되는 보완 필요 사항 점검 ▴단체교섭판단지원위원회 안정적 운영 ▴상생교섭 컨설팅의 연계 지원 등을 지속 추진하고, 지방관서 중심으로 전담팀을 통해 지역 내 주요 협·단체, 기업 등 대상으로 개정 노동조합법의 취지와 시행 사항 등을 지도하는 등 현장에서 상생적 노사관계가 확산될 수 있도록 적극 지원할 예정임을 밝혔습니다. 3. 시사점     이번 시행령 개정 및 해석지침 확정 등은 개정 노동조합법의 실질적 적용을 위한 제도적 기반을 완성하는 조치로 평가됩니다. 특히 교섭단위 분리 기준의 구체화와 판단지원위원회 운영은 향후 원·하청 노사관계의 지형에 상당한 영향을 미칠 것으로 예상됩니다.     법무법인(유)광장은 새 정부가 들어선 이후 급변하는 노동정책에 대응하기 위하여 2025. 5. 14. 안경덕 전 고용노동부 장관을 고문으로 영입하고 노동 컴플라이언스팀을 출범시켰으며, 개정 노동조합법 및 동법 시행령 등에 대하여 이미 뉴스레터 및 고객 세미나 등을 통해서 고객과 지속적으로 소통하고 있습니다. 고용노동부 해석지침 이외에도 추가적인 교섭창구 단일화 절차 업무 매뉴얼 등이 조만간 공개될 것으로 예상하고 있습니다. 저희 법무법인(유)광장은 해당 이슈에 대한 고객과의 소통 및 필요한 법률적 지원에 최선의 노력을 다하도록 하겠습니다. 2026. 3. 10. 자로 시행되는 개정 노동조합법의 내용과 기업의 대응 방안 등 관련 업무에 있어 도움이 필요하신 경우 본 뉴스레터의 담당 변호사들에게 언제든지 편하게 연락을 주시기 바랍니다.
