New Administration’s Tax Agenda and Implications for Foreign Investors
Following a closely contested election, President Lee Jae-myung has officially assumed office as South Korea’s new head of state. As a former governor and long-standing advocate of progressive economic reform, President Lee has pledged a number of tax policy changes that may reshape the fiscal landscape for both domestic and foreign businesses operating in Korea. Below is a high-level summary of his key tax-related pledges and their potential implications for the international business community. Key Tax Policy Pledges by the Newly-Elected President 1. Progressive Tax Reform & Redistribution     President Lee’s administration is expected to pursue higher taxation on large corporations and high-net-worth individuals, with the stated aim of funding expanded social welfare initiatives.       Implication: Multinational corporations with significant Korean operations may wish to monitor any proposed increases in the corporate income tax rate or changes to dividend and capital gains taxation. 2. Legal Reforms to Promote Financial Market, including Abolition of the Financial Investment Income Tax     President Lee has announced his ambition to raise the KOSPI index to 5,000. To support this objective, a dedicated task force – named the “KOSPI 5,000 Committee” – has been established within his election campaign team. A series of legislative reforms, including amendments to the Commercial Act and financial regulatory frameworks, are anticipated within his term in office. These measures are aimed at revitalizing the domestic stock market and encouraging greater foreign investment.     Additionally, President Lee has expressed support for abolishing the Financial Investment Income Tax, which was previously set to impose capital gains taxes on individuals earning more than KRW 50 million annually from financial investments in listed stock.       Implication: This move is likely to boost the domestic capital market and encourage foreign portfolio investments into Korean stock. 3. Expansion of tax incentives for strategic industries     The new government has proposed expanding tax incentives for strategic industries, including the semiconductor and battery sectors. This initiative could expand into other strategic industries. In addition to the existing integrated investment tax credit, a new tax regime will be introduced to promote the domestic production of targeted products. Furthermore, the government is considering a mechanism to partially refund tax credits in cash, which could be referred to as the Korean version of the IRA.       Implication: Foreign investors and partners considering investments in Korea or joint ventures with Korean companies should consider amendments to relevant laws and regulations, as these may impact investment strategies. 4. Scaling up AI: Investment and Incentive Expansion     The new government has identified the AI industry as a strategic priority and aims to position Korea among the world’s top three AI powerhouses. To achieve this, it has proposed policy initiatives to drive large-scale public and private investment, including a national AI investment plan totaling KRW 100 trillion and the establishment of a national AI data cluster.      In line with the policy to foster AI as a strategic industry, the government is expected to expand support measures such as R&D funding, development of cloud-based AI platforms, promotion of AI adoption across industries, tax credits, and infrastructure provision.     Implication: Companies should take advantage of favorable conditions for AI-related R&D investment. Even if AI is not their core business, it is worth monitoring whether benefits may be available when AI is applied to key business functions such as production, services, or marketing. 5. Individual Income Tax Reform     To ease the tax burden on middle- and lower-income households, President Lee has proposed:     ■ A family coefficient system to adjust tax obligations based on family size     ■ Expanded credits for households with children and communication expenses     Implication: These changes could influence household consumption and demographic policy planning. 6. Inheritance and Gift Tax Reform     President Lee advocates a more equitable wealth transfer regime, including:     ■ Increased basic (KRW 800 million) and spousal (KRW 1 billion) deductions     ■ Recipient-based inheritance taxation     ■ Opposition to rate reductions (the top rate remains at 50%)     Implication: These changes to inheritance tax are not directly related to corporate activities. However, since Korea determines fair market value in intercompany transfers based on the evaluation methods prescribed under the Inheritance and Gift Tax Act, it is important to closely examine the relevant changes to ensure compliance and manage potential tax risks. 외국인투자 안보심의 강화 - 외국인투자촉진법 개정안 발의
2025.5.2. 국회(임시회)에서 외국인투자촉진법 일부개정법률안(개정안)이 의원안(국민의힘 박형수 의원 대표발의)을 통해 발의되었고, 2025.5.7. 상임위원회(산업통상자원중소벤처기업위원회)에 회부되었습니다. 위 개정안은 기존 안보 심의 제도의 근거와 체계를 정비하면서, 외국인 투자기업을 통한 간접투자도 안보 심의 대상으로 포섭하는 규정을 두고 있으며, 위반 시 벌칙 규정을 강화하는 내용을 담고 있습니다. 1. 외국인투자촉진법 개정안의 주요 내용     ■ 외국인 간접투자도 안보 심의 대상에 포함됨(제4조 제6항 신설, 제5조 제1항 개정)         현재는 외국인투자촉진법 제4조 제2항, 제3항 및 동법 시행령 제5조의2에 근거하여, 6개 항목(방위산업물자, 대외무역법상 수출허가 대상 물품, 국가기밀, 국제평화 및 안전 유지, 국가핵심기술, 국가첨단전략기술)과 관련된 투자로서 “외국인이” 국내 기업의 경영상 지배권을 실질적으로 취득하려는 투자(안보 심의 대상 투자)에 대하여 안보 심의 절차가 진행되고 있습니다. 이번 개정안은 제4조 제4항 및 제5항을 신설하여, 외국인 투자가 국가의 안전 유지에 지장을 주는 경우에는 외국인투자심의위원회의 심의(안보 심의)를 거쳐 제한할 수 있다는 점을 명확히 하고, 안보 심의에 따른 외국인 투자 제한의 구체적인 대상 및 절차 등은 대통령령으로 정하도록 위임하였습니다.         특히 개정안 제4조 제6항은 안보 심의 대상이 되는 외국인 투자의 범위에 “외국인이 대통령령으로 정하는 바에 따라 외국인 투자기업을 통해 다른 대한민국의 법인 또는 기업(국내법인 등)을 실질적으로 지배하는 경우”가 포함되도록 규정하고 있고, 외국인 투자기업을 통해 국내법인 등을 실질적으로 지배하는 경우에도 미리 외국인 투자 신고를 하여야 한다는 점을 명확히 하였습니다(개정안 제5조 제1항).     ■ 안보 심의 대상인 경우, 사전 신고 의무화(제5조 제2항 개정)         현행 외국인투자촉진법상 주권상장법인이 발행한 기존 주식 등을 취득하는 경우, 외국 투자가가 해당 외국인 투자기업의 준비금 등이 자본으로 전입됨으로써 발행되는 주식 등을 취득하는 경우, 외국인 투자기업이 다른 기업과 합병 등을 하는 경우 등은 주식 등을 취득한 후 60일 이내에 사후 신고가 가능합니다(법 제5조 제2항 각호). 이번 개정안은 법 제5조 제2항 단서를 추가하여, 상기와 같은 사후 신고 요건에 해당된다 하더라도 안보 심의 대상 투자에 해당하면 사전에 외국인 투자 신고를 이행할 의무를 부과하고 있습니다.     ■ 안보 심의 이행 강제력 제고(제21조 제5항 제3호, 제34조, 제35조 개정)         개정안은 외국인투자기업이 국가의 안전 유지에 지장을 주는 경우임에도 불구하고 안보 심의를 받지 않고 국내법인 등의 주식 등을 취득하는 행위를 금지하도록 규정하였습니다(개정안 제21조 제5항 제3호).           한편, (i) 안보 심의 절차와 관련하여 고의로 신고∙등록(변경 신고∙변경 등록 포함)하지 않거나 거짓 또는 부정한 방법으로 신고∙등록한 경우 및 (ii) 안보 심의 이전에 국내법인 등의 주식 등을 취득한 경우에는 3년 이하의 징역 또는 3억 원 이하의 벌금에 처하도록 하고, (iii) 산업통상자원부 장관이 안보 심의에 따라 외국인 투자를 제한하기로 결정하였음에도 불구하고 국내법인 등의 주식 등을 취득한 경우에는 5년 이하의 징역 또는 5억 원 이하의 벌금에 처하도록 하였습니다.      ■ 산업통상자원부 및 외국인투자위원회의 권한 강화 및 제반 규정 정비         개정안은 산업통상자원부 장관이 외국인 투자와 관련하여 필요한 경우에는 관계 행정기관 등의 장에게 관련 자료 또는 의견 제출을 요청할 수 있고, 이 경우 관계 행정기관 등은 특별한 사유가 없으면 이에 따르도록 하였습니다. 또한, 산업통상자원부 장관이 시정명령을 하거나 필요한 조치를 취할 수 있는 경우로서, 외국인 투자 제한 사유가 ‘발견된’ 경우를 ‘해당하거나 해당할 가능성이 있는’ 경우로 개정하여, 외국인 투자가 국가의 안전보장 등에 지장을 줄 가능성이 있는 경우에도 시정명령 등의 조치를 취할 수 있도록 규정하였습니다(제28조 제2항 신설, 제5항 개정).         개정안은 외국인투자위원회의 심의 사항에 외국인 투자가 국가의 안전 유지에 지장을 주는지 여부에 관한 사항을 추가하고, 이를 판단하기 위해 외국인투자위원회 산하에 외국인투자안보심의전문위원회를 두며, 외국인투자안보심의전문위원회의 구성 및 운영에 필요한 사항은 대통령령으로 정하도록 하였습니다(제27조 제1항, 제3항, 제5항 개정).         그 외, 외국인 투자 신고 후 투자 내용이 변경된 경우 변경 신고를 의무화하는 등 제반 규정을 정비하였습니다(개정안 제5조 제3항). 2. 시사점     이번 외국인투자촉진법 개정안은 안보 심의와 관련한 규정을 전반적으로 정비하고, 안보 심의 대상 외국인 투자에 관한 규제를 강화하는 것을 주요 내용으로 하고 있습니다. 특히, 국가 안보에 영향을 미칠 수 있는 경우에는 외국인 투자기업을 통한 간접 투자도 ‘외국인 투자’에 포함되도록 하여 안보 심의 제도뿐만 아니라 외국인 투자(사전) 신고 및 안보 심의 전 주식 취득 금지 등 관련 규제를 적용하고자 하는 것이 핵심적인 개정 취지로 보입니다.     이번 개정안이 시행될 경우, 외국인이 국내에 외국인 투자기업을 설립한 이후 동 국내법인을 통해 M&A를 추진하는 구조라도 안보 심의 대상 투자에 해당될 수 있고, 안보 심의 대상 투자에 해당함에도 불구하고 고의로 외국인 투자 신고를 누락하거나 외국인 투자 신고 시 안보 심의 대상에 해당된다는 점을 고의로 누락하여 안보 심의 없이 투자를 진행한 경우 형사처벌(3년 이하의 징역 또는 3억 원 이하의 벌금)이 이루어질 수 있으므로, 해당 거래가 안보 심의 대상에 해당하는지 여부에 대해 보다 면밀한 검토가 필요할 것입니다.     다만, 외국인 투자에 포함되는 간접 투자 방식의 범위와 안보 심의 대상 및 심의 절차 등 구체적인 내용은 시행령에 위임되어 있으므로, 향후 외국인투자촉진법 시행령에서 이러한 사항이 어떻게 구체화될 것인지 관련 논의 및 산업통상자원부의 실무 운용 방향을 주의 깊게 살펴볼 필요가 있습니다. 법무법인(유) 광장의 산업기술팀은 국가핵심기술(NCT), 국가첨단전략기술(NAST) 등 산업기술에 대한 정확한 이해와 산업통상자원부(MOTIE), 국정원, 경찰청 안보수사대 등과의 풍부한 업무 경험을 바탕으로, 국가핵심기술/국가첨단전략기술 해외 인수·합병 승인, 기술수출 승인, 기술 유출 수사 대응, 외국인투자촉진법상 외국인 투자 신고 및 안보 심의 등과 관련한 전문적인 대응 업무를 수행하고 있습니다. 관련하여 궁금한 사항이 있으시면 언제든지 법무법인(유) 광장 산업기술팀으로 연락주시기 바랍니다.
