Establishment of a U.S. Joint Venture “SAPEON Inc.” by and among SK Telecom, SK Hynix and SK Square

Lee & Ko successfully advised SK Telecom in its establishment of a U.S. Joint Venture with SK Hynix and SK Square to operate global AI semiconductor businesses such as SAPEON Inc.’s entry into the global market.
 
This transaction involves the execution of a joint venture agreement by and among SK Telecom, SK Hynix’s subsidiary and SK Square’s subsidiary; the establishment of SAPEON Inc.; the establishment of SAPEON Korea by spin-off of SK Telecom’s Sapeon Business Division; and the transfer of SAPEON Korea’s shares to SAPEON Inc.
