Lee & Ko successfully advised Samsung Asset Management Co., Ltd., a sole shareholder of Samsung Active Asset Management Co., Ltd in its joint venture agreement with Franklin Templeton Capital Holdings Private Limited, a sole shareholder of Franklin Templeton Investment Trust Management Company, on March 21, 2018. The merger between Samsung Active Asset Management and Franklin Templeton was followed by joint venture between the two entities, which resulted in a formal partnership. This joint venture transaction did not involve affiliates , and as a merger between third parties, numerous legal issues have been raised, including coordination of management rights among shareholders, adjustment of labor relations, and approvalfrom the financial authorities for mergers. Foreign asset management companies are currently moving away from the Korean market due to the sluggish earnings. This deal is relevant to this designed to reverse that trend by using the combination of Korean asset management company’s domestic, and foreign network as well as marketing know-how to create a new synergy. This deal is more significant in that it exemplifies how an active asset management company can undertake joint ventures between domestic and foreign companies in the domestic asset management market.
