Lee & Ko Advised the First-ever Investment into CBs of a Vietnamese Issuer by a Korean Investor

Lee & Ko successfully concluded the first-ever transaction involving a Korean investor investing in convertible bonds issued by a Vietnamese company. By an agreement dated November 24, 2016, Rhinos Vietnam Convertible Fond Private Investment Fund No. 1, a fund established by Rhinos Asset Management, will acquire US$40,000,000 convertible bonds to be issued by Ho Chi Mihn City Infrastructure Investment Joint Stock Company ("CII"), a Vietnamese infrastructure investment company that ranks thirtieth in the Vietnam stock exchange in terms of market capitalization. Lee & Ko led the negotiations of the structure and terms of this transaction on behalf of the investor, perfectly covering Vietnamese law as well as Korean law with a participation of Lee & Ko office in Ho Chi Minh City, Vietnam. CII is a prominent market leader in Vietnams' BOT project industry with a market capitalization corresponding to approximately KRW 340 billion, and is also a component of VN30 (Vietnam's DJIA-equivalent). This convertible bond is scheduled to be issued in early 2017 once the issuer has undergone the relevant legal process in Vietnam. Hyunjoo OH, Hark Hun KIM played a key role in this project.
