Lee & Ko advised SK Telecom on (i) its share acquisition (“Share Acquisition”) of CJ Hellovision Co., Ltd. (“CJ HV”)’s shares from CJ O Shopping Co., Ltd, and related transactions such as (ii) its participation in the tender offer of the shares of CJ HV, (iii) merger between CJ HV and SK Broadband Co., Ltd, and (iv) its acquisition of new shares of CJ Corporation in consideration for the strategic alliance as described above. Upon closing of the transactions and the merger, SK telecom became the controlling shareholder of CJ HV, and CJ HV became a subsidiary of SK Telecom. The transactions consisted of various agreements and complex legal issues. Lee & Ko’s timely and effective advice contributed to the execution of agreement within a short period of time.
