Sale of the shares of Lotte Asahi by Lotte Chilsung

Lee & Ko successfully advised Lotte Chilsung’s sales of 480,001 shares (representing 16.000033% of all shares) in Lotte Asahi, a joint venture between Lotte Chilsung and Asahi Group Holdings, to Asahi Group Holdings. This sale was pursuant to the Call Option Agreement executed in 2013 and through this sale, Lotte Chilsung transferred majority shares and management control of Lotte Asahi to Asahi Group Holdings.
