Dong-A Pharmaceutical Split

On March 1, 2013, Dong-A Pharmaceuticals was split into the following three companies through a combination of spin-off and stock-split transactions: Dong-A Socio Holdings (continuation of existing entity with name change), a company focusing on investment activities; Dong-A ST (established pursuant to a stock-split transaction), a company focusing on ethical drugs; and Dong-A Pharmaceuticals (established pursuant to an asset spin-off transaction), a company focusing on OTC (over-the-counter) pharmaceutical products. Subsequently, Dong-A Socio Holdings implemented various measures necessary for classification as a holding company, including such things as carrying out share-exchange, public-tender and investment-in-kind procedures and, on October 30, 2014, it obtained confirmation from the Korea Fair Trade Commission of its classification/status as a holding company. By providing efficient and effective advice to Dong-A regarding the various steps of this substantial corporate reorganization endeavor, Lee & Ko was instrumental in facilitating a timely and successful completion of the reorganization project.
