Merger of Five Affiliate Companies into CJ E&M

Lee & Ko advised the merger of Orion Cinema Network, On Game Network, Badook Televisions, KMTV, and International Media Genius into CJ E&M and successfully completed the transaction on December 1, 2013.

In this unprecedented transaction, five affiliated companies of CJ E&M were merged into CJ E&M by distribution of newly issued shares of thw merged company and issuance of the new merged shares for common shares previously owned by CJ E&M.  Lee & Ko, through collaboration of many different practice groups such as corporate, TMT and tax practice groups, successfully resolved complex legal issues involved such as tax treatment of losses carried forward and approvals pursuant to media related laws.
