Lee & Ko serverd as counsel for KDB Value VI acquiring Daewoo E&C. On December 13, 2010, KDB Value VI Private Equity Fund (KDB PEF) managed by KDB as its general partner entered into a share purchase agreement whereby it is to purchase through its subsidiary KDB Value VI LLC (SPC) 121,027,397 shares (shareholding ratio of 37.16%) in Daewoo E&C, a KRX KOSPI listed company with the market capitalization of KRW 40.0 trillion, from a consortium of 17 financial investors, including Mirae Asset Maps III Partners for about KRW 2.2 trillion(about 1920 Mil USD), In addition, the SPC above entered into a subscription agreement with Daewoo E&C whereby it will acquire 89,903,802 new shares to be issued by Daewoo E&C for about KRW 1.0 trillion(about 870 Mil USD). Through these transactions, SPC secured the controlling stake in Daewoo E&C by becoming the largest shareholder owning about 50.75% of Daewoo E&C. The transactions closed on January 6, 2011.
