Lee & Ko advised Tilting Point Media, a U.S. game developer famous for SpongeBob, in its acquisition of redeemable convertible preferred stocks issued by domestic game developer AN Games, while taking over the largest shareholder and management rights of AN Games.
 
Due to the complex nature of this transaction, the negotiation process of this transaction took approximately eight months. However, it was closed successfully on January 26, 2022. During the entire process, Lee & Ko provided comprehensive legal advice to Tilting Point Media, which included conducting legal due diligence, reviewing the transaction structure, and executing the share purchase agreements, share subscription agreements, call option agreements as well as the share kun-pledge agreements.
 
Lee & Ko coordinated the interests of the contracting parties, including the largest shareholder and various VCs, and actively assisted in the successful signing and closing of various contracts as mentioned above.

Lee & Ko advised Naver Z, a metaverse service platform, in its issuance of redeemable convertible preferred stocks to investors including Softbank Vision Fund, Hybe, YG Investment and JYP Entertainment, with the total subscription price over 220 Billion Korean Won.
 
Representing Naver Z in this transaction, Lee & Ko provided comprehensive legal advice, including review of transaction structure as well as preparing and negotiating the share subscription agreement and the shareholders agreement which contributed to the successful signing and closing of this transaction.
