On November 25, 2015, Lee & Ko’s Corporate Consulting Team hosted the ‘2015 Lee & Ko M&A Forum’ in the President Hotel’s Brahms Hall conference room.
The forum was held to introduce and share ideas and views on significant issues and recent developments in the M&A field.
In Session 1, Mr. Yong Joon Yoon and Mr. Seong Chan Hong made presentations on the topic of “Recent LBO Trends,” which focused extensively on a recent court case involving On Se Telecom and Hi Mart. The case served as an excellent subject for exploring important legal issues related to leveraged buy-outs.
For Session 2, Mr. Hyeong Gun Lee, Mr. Timothy Jun and Mr. Daehoon Koo gave presentations on the topic of ‘2015 Korean M&A Deal Trends,’ The presentations were handled in a conversational format that allowed for free interaction and discussions among the forum participants. In connection with their presentations, Lee & Ko’s M&A team produced a first-ever statistical analysis of key commercial terms and conditions adopted for M&A related share-purchase agreements, drawing upon a large number of agreements used in relatively recent M&A transactions. This statistical analysis provided an excellent basis for discussing current market practice standards and practical issues for businesses to consider in negotiations.
