Lee & Ko hosted its 11th M&A Forum on October 30, 2025, marking another successful year of this annual event. 

Since its inception in 2015, the Lee & Ko M&A Forum has served as a platform for introducing the latest issues in the M&A field and sharing Lee & Ko’s accumulated expertise with professionals in the industry. This year, the event once again received an enthusiastic response, with more than 500 M&A practitioners and corporate representatives participating both online and offline.

In Session 1 of the Forum, Partner Attorneys Dajoo Jung and Sejoong Lee presented on the topic of “Recent Trends in Corporate Control Disputes and Amendments to the Commercial Code.” They outlined the growing trend of control disputes arising amid the spread of shareholder activism and examined the potential impact of the recent amendments to the Commercial Code on such disputes, while also presenting practical strategies for corporate responses. By linking the highly discussed topic of the Commercial Code reform with corporate control disputes, the session drew strong attention and positive feedback from participants.

Session 2 featured Partner Attorney Hyung Soo Lee and Foreign Attorney Seung Hyo Baek, who presented “Recent Trends and Key Issues in Overseas Investment: Focus on Brownfield and Greenfield Projects.” They discussed recent developments in cross-border M&A, reviewing overseas investment trends over the past five years by distinguishing between Brownfield and Greenfield investments, and highlighting their respective characteristics and key considerations. The session concluded with additional presentations by Yun A Kang, Head of Lee & Ko’s Beijing Office, Jae Hoon Choi, Head of the Japan Team, and Woongryol Baek, Head of the Vietnam Office, who shared updates on regulatory trends and practical responses in the U.S., EU, China, Japan, and Vietnam, drawing strong interest from participants engaged in or preparing for cross-border M&A transactions.

Lee & Ko hosted its 9th M&A Forum on October 19, 2023, marking another successful year of this annual event. Since its inception in 2015, Lee & Ko M&A Forum has been a platform for introducing the latest issues in the M&A field and sharing Lee & Ko's extensive expertise with professionals in the field. This year, the event received an overwhelming response, with nearly 700 M&A practitioners and professionals from domestic companies participating, both online and offline.

In the session 1 of the Forum, Partner Attorneys Kim Sung-min and Park Ji-hye from Lee & Ko delved into the topic of "Practical Issues Related to Representations and Warranties in M&A Contracts." They provided a comprehensive understanding of the significance and function of representations and warranties, highlighting common challenges that arise in M&A practice. The session emphasized the importance of clearly defining the provisions related to representations and warranties in M&A contracts.

Session 2 featured Partner Attorneys Lee Seung-hwan and Hong Hyoung-geun from Lee & Ko, who presented "Revisiting Tender Offers - Applications and Key Issues in M&A." Their insights were well-received, as they gradually introduced key considerations for practitioners when using tender offers from an M&A perspective. This included an overview of the main components of the tender offer system, key issues associated with tender offers in both friendly and hostile M&A scenarios, and an exploration of the mandatory tender offer system, which is currently the subject of legislative discussion.

The impressive attention and response garnered by Lee & Ko M&A Forum, which is exceptional for an event organized by a domestic law firm, are a testament to the dedication of Lee & Ko M&A team lawyers. On 8 November 2022 (3pm), Lee & Ko hosted ‘2022 8th Lee & Ko M&A Forum’.

This year's forum, which was also broadcast live through Zoom, received great response from clients engaging in M&A business to the extent that offline participation was fully booked and its application was closed early in one day, while recording a large number of attendees of 613 (125 offline and 488 online). This year’s success is the result of accumulated appreciation on Lee & Ko M&A Forum, prepared with high dedication and months of work by Lee & Ko M&A team to provide high-quality analysis and information on timely topics in line with the M&A trend.

In Session 1, Ho Joon Moon and Ji Hyeong Park from Lee & Ko carefully reviewed recent important case precedents in the field of M&A under the theme of 'Recent precedents that have influenced M&A practice'. They emphasized the importance of accurate and specific contractual language in negotiating and concluding M&A contracts.

In Session 2, Seong Chan Hong and Joo Young Lee from Lee & Ko introduced the methods of attack and defense used in a hostile M&A situation with exciting manner in a battle-and-defense format, at the same time sharing useful tips on shareholders' meeting held in management dispute situation.
 

On October 14, 2021 (3pm), Lee & Ko is scheduled to host its M&A Forum for 2021.

This forum hosted by Lee & Ko is the only M&A forum to be hosted by a law firm in Korea. At this annual forum, Lee & Ko’s M&A Group will discuss the latest prevailing issues in the rapidly changing field of M&A and provide a place where professionals in related fields can meet and exchange mutually useful information. This year’s forum marks its 7th anniversary but due to the current COVID-19 situation, will be held as a webinar.
