Another Digital Services Tax Proposal Introduced in Korea
On June 26, 2026, ten members of Korea’s National Assembly, led by Representative Lee Kang-il of the Democratic Party of Korea, proposed a bill that, if enacted, would establish a statutory basis for imposing a digital services tax (DST) on certain foreign corporations providing digital services to users in Korea. If enacted, the bill would amend the International Tax Coordination Law (ITCL) to require an in-scope foreign corporations to pay an amount equal to 2% of its relevant Korean digital services revenue as corporate income tax. The bill would also introduce two supporting measures: it would require certain large online platform businesses to publicly disclose detailed information regarding their foreign related-party transactions, and would recharacterize certain excessive payments to foreign related parties as non-deductible deemed dividends. This newsletter focuses principally on the digital services tax, which represents the proposal's most significant departure from Korea's existing approach. The bill is currently pending before the Finance and Economic Planning Committee of Korea’s National Assembly. As a member-sponsored bill, it remains at an early stage of the legislative process and may be substantially revised or may not ultimately be enacted. Nevertheless, in view of the current implementation of Digital Services Taxes in some European countries including France and Italy, the proposal is a notable legislative development that warrants close attention from multinational digital businesses. 1. Key Provisions of the Bill     1) A 2% corporate income tax on Korean digital services revenue         The proposed Article 34-3 of the ITCL would apply where a foreign corporation (i) conducts an online platform or other business prescribed by Presidential Decree; (ii) provides online advertising or other prescribed digital services through an information and communications network to users in Korea; and (iii) earns revenue exceeding a threshold to be prescribed by Presidential Decree. An in-scope foreign corporation would be required to pay corporate income tax equal to 2% of the relevant revenue. The calculation of the revenue, the method for calculating the tax, and the filing and payment procedures would likewise be delegated to Presidential Decree.         The proposal is therefore incomplete in several crucial respects. In particular, the bill does not yet specify: the global or Korean revenue thresholds; the full range of covered digital services; the criteria for determining whether a user is located in Korea; the sourcing rules for Korean digital services revenue; or whether any relief would be available where the same income is already subject to Korean corporate income tax.         These matters, which would largely determine the scope and practical effect of the proposed tax, are expected to be addressed through subsequent Presidential Decree should the bill proceed.     2) Enhanced disclosure obligations for large online platforms         An online platform or other prescribed business would be required to publicly disclose information regarding transactions with foreign related parties where (i) its revenue for the preceding fiscal year is at least KRW 1 trillion and (ii) the amount of its foreign related-party transactions exceeds a threshold prescribed by Presidential Decree. The required disclosures would include the identity and location of the related party, the nature and amount of the transactions, the pricing basis, the detailed scope of the services received, comparable third-party prices and the transfer pricing method applied.         Failure to disclose the relevant information, or the submission of false information, could result in an administrative fine equal to 2% of the undisclosed or falsely disclosed transaction amount. 2. Why the Proposal Is Significant     The principal significance of the bill lies not merely in its 2% rate, but in the legal form in which the tax would be introduced. The proposal would insert a specific DST provision into the ITCL and expressly require the relevant foreign corporation to pay the charge as corporate income tax. This distinguishes the bill from Korea’s previous formally introduced legislative measures concerning foreign digital businesses, which generally focused on (i) expanding the VAT regime applicable to cross-border electronic services or (ii) requiring foreign corporations to provide the Korean tax authorities with information regarding their Korean business activities and revenue. Accordingly, the bill appears to represent Korea’s first formally introduced legislative proposal to impose a revenue-based DST in the form of corporate income tax.     The corporate income tax label may have been selected to position the charge within Korea’s existing direct-tax framework. However, the statutory label would not necessarily resolve questions concerning the tax’s treatment under Korea’s tax treaties or under foreign tax credit systems. Because the charge would be calculated on gross revenue and could apply without a permanent establishment or other traditional taxable presence in Korea, questions may arise as to whether it constitutes a covered tax for treaty purposes or a creditable income tax in the foreign corporation’s residence jurisdiction. 3. Korea’s Previous Approach to Digital Economy Taxation     Lately, Korea has generally sought to protect its tax base through the application and expansion of existing tax rules rather than through a separate gross-revenue tax. In tax audits and disputes involving multinational digital businesses, recurring issues have included whether a foreign enterprise maintains a permanent establishment in Korea; whether payments characterized as service fees should instead be treated as royalties; whether a Korean entity has received arm’s-length compensation for its functions, assets and risks, including functions considered under the development, enhancement, maintenance, protection and exploitation (DEMPE) framework; and whether the legal characterization of a transaction is consistent with its economic substance. This approach has enabled the Korean tax authorities to pursue digital economy related tax cases within the existing corporate income tax, transfer pricing, royalty and permanent establishment framework, but it has required highly fact-intensive analyses and has frequently raised difficult questions under Korea’s tax treaties, mostly leading to ultimate failures at the court.     Korea’s earlier legislative initiatives concerning the digital economy did not seek to impose a direct tax on the income or revenue of foreign digital businesses. Instead, they focused primarily on establishing a domestic nexus and expanding the scope of VAT on cross-border digital services. Here are some of the examples:     ■ In September 2018, lawmakers proposed amending the Act on Promotion of Information and Communications Network Utilization and Information Protection (the Network Act) to require certain large IT companies to install servers in Korea, which would have provided a domestic basis for taxation. The proposal was subsequently withdrawn.     ■ A bill introduced in November 2018 sought to amend the VAT Act to expand the definition of taxable electronic services supplied by foreign businesses to include online advertising, cloud-computing services, and sharing-economy services, as well as certain business-to-business transactions. The substance of that proposal was incorporated into an alternative bill, and the expanded rules took effect in July 2019.     ■ Another bill introduced in November 2018, also amending the VAT Act, proposed a broader list of covered services, including remote education, electronic publications, and remote website and computer-system installation, maintenance, and management services, but lapsed at the end of the National Assembly’s term.     ■ A proposal introduced in March 2019, which would have amended the VAT Act to extend the electronic-services regime to business-to-business transactions more generally, likewise lapsed.     These initiatives expanded Korea’s ability to tax cross-border digital transactions, but they did so principally through VAT imposed on consumption. They did not establish a direct tax on the Korean-source income or revenue of foreign digital businesses.     Viewed in this historical context, the current bill represents a material escalation. It seeks to establish a direct, market-based tax calculated by reference to revenue from Korean users, without regard to the existence of a traditional physical presence in Korea and without requiring the tax authorities first to prevail in a fact-intensive transfer pricing or permanent establishment dispute. Importantly, the bill would not replace Korea’s traditional tools; an affected group could face both the 2% DST and separate transfer pricing or withholding tax adjustments relating to its Korean operations. 4. International Context     The proposal arises against the backdrop of continuing uncertainty surrounding Pillar One of the OECD/G20 Inclusive Framework. Amount A of Pillar One was designed to reallocate a portion of the profits of the world’s largest and most profitable multinational groups to market jurisdictions, while the accompanying multilateral framework contemplated the removal of existing DSTs and a commitment not to introduce new measures of a similar nature. The absence of a fully implemented multilateral solution has nevertheless led a number of jurisdictions to retain or consider unilateral digital taxes.     In the rationale accompanying the proposal, the sponsoring lawmakers point to the continuing international debate over digital taxation as a response to perceived tax avoidance by large global IT companies. They also refer to overseas precedents, including the Canadian model 1, under which a specified percentage of revenue derived from digital services, such as digital advertising, is subject to a DST. Against this backdrop, the proposal is intended to establish a tax framework suited to the digital-platform economy and provide an explicit statutory basis for Korea to impose a DST. 5. Outlook     The bill remains at a preliminary stage, and many of its critical design features have been delegated to a future Presidential Decree. Its ultimate scope and prospects for enactment therefore remain uncertain. As a member-sponsored bill, the proposal must still clear committee review in the Finance and Economic Planning Committee and the Legislation and Judiciary Committee, followed by approval at a plenary session, before it can be promulgated. Even if enacted, subordinate legislation would still be required to implement numerous details delegated to Presidential Decree. Member-sponsored tax bills of this kind are frequently revised or consolidated into a committee alternative at the subcommittee stage, or lapse at the end of the National Assembly's term. Near-term enactment therefore appears unlikely, and in view of the government’s authority in tax legislative initiative, any eventual legislation may well emerge through the government's annual tax reform process rather than this bill in its present form.     Moreover, any unilateral DST would need to be considered against the risk of potential trade retaliation from the United States. President Trump recently warned that any country imposing a DST targeting U.S. companies could face a 100% tariff on goods exported to the United States, underscoring the broader political and trade considerations that could affect the proposal’s progress. 2 Indeed, even Canada, which the sponsoring lawmakers cite as a model for the proposal, rescinded its own DST in June 2025, halting collection on the eve of its first payment deadline in order to advance broader trade negotiations with the United States.     Nevertheless, the proposal needs to be monitored. Whereas previous legislative measures primarily expanded the scope of VAT or sought additional information from foreign digital businesses, the current bill would, if enacted, establish a substantive taxing right over revenue derived from the Korean digital-services market and expressly characterize the resulting charge as corporate income tax. Multinational digital businesses should therefore view the proposal not merely as another compliance initiative, but as a potential change in the basis on which Korea asserts taxing rights over participation in its digital market. 프랑스 부동산 3% Tax 면제 요건 개정
프랑스는 프랑스 소재 부동산을 직접 또는 간접적으로 보유한 국내외 법인, 펀드, 신탁 등 법적 단체(entities)에 대하여 매년 1월 1일 기준 해당 부동산 공정 시장 가치(fair market value)의 3%에 상당하는 세금인 French Real Estate 3% Tax (3% Tax)를 부과하고 있습니다. 다만, 일정한 요건을 충족하는 단체는 3% Tax를 면제받을 수 있으며, 실무상 프랑스 부동산에 투자하는 대부분의 외국 투자자들은 이러한 면제 규정에 의존하여 왔습니다. 그러나 2026년 6월 25일 제정되어 같은 달 27일부터 시행된 프랑스의 사회보장·조세 부정행위 방지법(Loi n° 2026-534 du 25 juin 2026 relative à la lutte contre les fraudes sociales et fiscales, 법률 제2026-534호)은 이러한 면제를 위한 절차적 요건을 대폭 강화하였습니다. 종전에는 (i) 매년 5월 15일까지 소정의 신고서(Form 2746-SD)를 제출하는 방법과 (ii) 부동산 또는 이를 보유한 단체의 지분을 직접 또는 간접적으로 취득한 날부터 2개월 이내에, 향후 과세 당국의 요청이 있을 경우 관련 정보를 제공하겠다는 일회성 확약(one-off undertaking)을 제출하는 방법 중 하나를 선택하여 면제를 유지할 수 있었습니다. 그러나 개정 법률에 따라 2027년부터는 확약 방식이 폐지되어, 매년 Form 2746-SD를 제출하는 방법으로만 면제를 유지할 수 있게 되었습니다. 지난 10여 년간 국내 기관 투자자와 자산 운용사는 국내 집합 투자기구 또는 룩셈부르크 등 해외에 설립된 지주회사(holding company)를 통하여 프랑스의 오피스 빌딩, 물류센터 등 부동산 자산에 활발하게 투자하여 왔습니다. 이러한 투자 구조에서는 해당 부동산의 보유 구조(ownership chain)에 포함된 각 단체가 3% Tax의 잠재적 납세 의무자가 될 수 있으므로, 이번 개정은 프랑스 부동산에 이미 투자하고 있거나 신규 투자를 검토 중인 국내 투자자에게 직접적인 영향을 미칠 수 있습니다. 본 뉴스레터에서는 ① 프랑스 3% Tax 제도의 기본 구조, ② 개정 법률의 주요 내용 및 ③ 국내 투자자의 실무상 유의 사항을 순서대로 살펴봅니다. 1. 프랑스 3% Tax 제도의 기본 구조     3% Tax는 프랑스 조세일반법(Code général des impôts) 제990D조 이하에 규정된 세금으로서, 프랑스 소재 부동산 또는 부동산에 관한 권리를 직접 또는 간접적으로 보유한 법적 단체를 대상으로 매년 1월 1일 현재 해당 부동산의 공정 시장 가치에 3%의 세율을 적용하여 부과됩니다. 그 세율이 프랑스 부동산 부유세(Impôt sur la fortune immobilière)의 최고 세율인 1.5%의 두 배에 달하는 점에 비추어 볼 때, 3% Tax는 세수 확보보다는 부동산 보유 구조의 최종 소유자를 공개하도록 유도하기 위한 제재적 성격이 강한 제도로 이해되고 있습니다.     특히 3% Tax는 부동산 취득과 관련된 차입금을 공제하지 않은 해당 부동산의 공정 시장 가치 총액을 과세 표준으로 하므로, 실제로 과세될 경우 투자 수익률에 미치는 영향이 매우 클 수 있습니다. 이에 따라 프랑스 부동산 투자에서는 3% Tax의 적용을 면제받을 수 있는지 여부가 실무상 매우 중요한 의미를 갖습니다.     프랑스 법령은 3% Tax에 관한 여러 면제 사유를 두고 있으며, 그중 실무상 가장 넓게 활용되는 것은 프랑스, EU 회원국 또는 프랑스와 조세 관련 행정 공조 협정이나 조세 조약을 체결한 국가에 소재하는 단체에 대한 면제입니다. 다만, 이러한 면제는 자동으로 적용되는 것이 아니라, 보유 부동산의 소재지·내역·시가와 해당 단체의 지분을 직접 또는 간접적으로 1% 초과하여 보유한 주주 등의 인적 사항을 프랑스 과세 당국에 공개하는 절차적 요건을 충족하여야 합니다.     종전에는 이러한 정보를 매년 Form 2746-SD를 통해 신고하는 방법(5월 15일 기한)과 부동산 또는 이를 보유한 단체의 지분을 취득할 때 향후 과세 당국의 요청이 있을 경우 관련 정보를 제공하겠다는 확약을 제출하는 방법 중 하나를 선택할 수 있었습니다. 이 중 후자의 방식은 취득 시 한 차례의 확약을 제출하는 것만으로 별도의 연례 신고 없이 면제를 계속해서 적용받을 수 있다는 점에서 외국 투자자들 사이에서 널리 활용되어 왔습니다. 2. 개정 법률의 주요 내용     1) 확약 방식의 폐지—연례 신고 의무로의 일원화         개정 법률에 따라, 2027년부터는 확약 방식으로 면제를 유지할 수 없으며, 매년 5월 15일까지 Form 2746-SD를 제출하는 방법으로만 면제를 적용받을 수 있습니다.         이에 따라 종전에 취득 시 확약을 제출하고 별도의 연례 신고를 하지 않아 온 단체는 2027년 5월 15일까지 최초 연례 신고를 이행하여야 하며, 이후에도 매년 같은 기한 내에 신고를 완료하여야 면제를 계속 적용받을 수 있습니다.     2) 세무 대리인 지정 의무와 간주 지정 리스크         아울러 개정 법률은 프랑스 내 고정 사업장이 없는 단체가 연례 신고를 하는 경우, 3% Tax 관련 세무 조사 등의 절차에서 관련 서류와 통지서를 수령할 권한을 가진 세무 대리인(tax representative)을 연례 신고 시 함께 지정하도록 하는 규정을 신설하였습니다.         특히 유의할 점은 연례 신고 시 이러한 세무 대리인을 명시적으로 지정하지 않을 경우, 프랑스 과세 당국이 파악하고 있는 부동산 보유 구조상 해당 부동산에 가장 근접한 하위 단계의 단체가 관련 서류와 통지서의 수령 권한자로 간주된다는 것입니다.         이 경우 상위 투자자의 통제가 미치지 않는 현지 SPC 등 하위 단체에 중요한 세무 관련 서류가 송달될 수 있습니다. 따라서 외국 투자자로서는 2027년 5월 최초 3% Tax 신고에 앞서 프랑스 내 세무 대리인을 미리 지정할 필요가 있습니다. 3. 실무상 유의 사항     1) 전자 신고 요건과 프랑스 내 등록 절차         Form 2746-SD는 원칙적으로 온라인 방식으로만 신고가 가능합니다. 이를 위해서는 (i) 우선 해당 단체에 대한 별도의 등록 절차를 진행하여 고유 식별 번호인 SIREN(Système d’identification du répertoire des entreprises)을 취득하고, (ii) 프랑스 과세 당국의 온라인 포털에 세무 계정을 개설한 다음, (iii) 전자 신고 서비스를 활성화하는 절차를 순차적으로 거쳐야 합니다. 이러한 절차는 모두 2027년 5월 15일의 최초 신고 기한 전에 완료되어야 합니다.         프랑스 내 등록 절차는 통상 수개월이 소요될 수 있습니다. 특히 이번 개정으로 종전까지 확약 방식에 의존하여 온 다수의 외국 단체가 일시에 등록을 신청할 것으로 예상되는 만큼, 신청이 집중될 경우 처리 기간이 더욱 길어질 가능성이 있습니다. 또한 현행 등록 포털은 주로 법인을 전제로 설계되어 있어, 신탁이나 펀드 등 비법인 형태의 단체는 등록 과정에서 과세 당국에 추가적인 자료나 설명을 제출하여야 하는 경우가 빈번한 것으로 파악됩니다.         따라서 확약 방식에 의존하여 온 단체는 신고 기한에 임박하여 관련 절차를 개시하기보다는 가급적 2026년 중 프랑스 내 등록 절차에 착수하는 것이 바람직합니다.     2) 신고 의무 위반 시 제재와 보정 기회의 제한         3% Tax는 단순히 이론적인 리스크에 그치는 것이 아니라, 신고 의무 위반이나 면제 요건 충족 여부를 둘러싸고 세무 조사와 조세 쟁송이 빈번하게 발생하는 분야입니다. 프랑스 과세 당국의 실무상 연례 신고를 전혀 이행하지 않은 단체에 대해서는 공식적인 이행 촉구(mise en demeure) 후 30일 이내에 보정할 기회가 부여되며, 해당 기간 내에 보정이 이루어지지 않을 경우에는 면제 자격 여부와 관계없이 3% Tax가 부과될 수 있습니다. 반면, 기한 내에 보정이 이루어진 경우에는 면제가 인정될 수도 있으나, 이러한 보정 기회는 원칙적으로 최초 1회에 한하여 허용되는 것으로 이해됩니다.         나아가 기한 내에 신고를 이행하였더라도 신고서에 기재된 지분 보유자 정보가 불완전하거나 부정확한 경우에는, 실무상 공개되지 않은 지분 비율에 상응하는 범위에서 3% Tax가 부과될 수 있으며, 이와 함께 가산세와 이자가 추가로 발생할 수도 있습니다.         결국 3% Tax 면제를 유지하기 위해서는 매년 신고 의무가 기한 내에 정확하게 이행되어야 하며, 면제 범위를 온전히 인정받기 위해서는 신고서에 기재되는 지분 보유자 정보의 정확성과 완전성을 확보하는 것이 무엇보다 중요합니다. 4. 시사점     이번 개정에 따라, 프랑스 부동산 투자와 관련하여 3% Tax 면제를 계속 적용받고자 하는 투자자는 매년 정해진 기한 내에 연례 신고를 정확히 이행하여야 하는 새로운 실무상 부담을 지게 되었습니다.     따라서, 프랑스 부동산에 직접 또는 간접적으로 투자하고 있는 국내 투자자로서는, 우선 보유 구조 내 각 단체가 현재 어떠한 방식으로 면제를 적용받고 있는지를 점검해야 합니다. 종전까지 확약 방식에 의존하여 온 단체는 2027년 5월 15일까지 최초 연례 신고를 완료하여야 하므로, 이를 위한 프랑스 내 등록 및 세무 계정 개설 절차를 조속히 개시할 필요가 있습니다. 이미 연례 신고를 이행하여 온 단체 역시 지분 보유자 정보의 정확성과 완전성, 신설된 세무 대리인 지정 의무 등 강화된 요건의 충족 여부를 재점검할 필요가 있습니다. 법무법인(유) 광장 조세 그룹은 프랑스 현지 로펌과 협력하여 고객의 프랑스 부동산 투자 구조 전반에 대한 3% Tax 영향 검토, 신고 의무 대상 단체의 식별, 프랑스 내 등록 및 세무 계정 개설, 연례 신고서의 작성·제출에 이르는 전 과정을 지원하고 있습니다. 이와 관련하여 구체적인 검토가 필요하신 경우 언제든지 연락하여 주시기 바랍니다. 저자 및 관련 주요 전문가 - 최근 법인세법 개정1)으로, 투자신탁 형태의 국내 펀드를 통한 국외 투자에서 발생하는 이중과세를 조정하는 방식이 근본적으로 바뀌었습니다. 종전에는 국내 펀드 단계에서 외국 납부 세액을 환급받는 특례가 적용되었으나, 개정 세법은 이 특례를 폐지하고 투자자인 내국법인이 자신의 법인세 신고 시 외국 납부 세액 공제를 적용받도록 하였습니다. 이러한 전환으로, 이제 투자자 단계의 외국 납부 세액 공제 적용 여부가 투자자의 이중과세 조정을 좌우하게 되었습니다. 그리고 그 과정에서 핵심이 되는 것이 미국에서 발급되는 세무 서식인 Form 1042-S와 Form 8805입니다. 두 서식은 해당 과세연도에 투자자에게 귀속된 미국 원천 소득과 그에 대해 미국에서 원천징수된 세액을 확정적으로 보여주는 자료로서, 국내에서 외국 납부 세액 공제를 적법하게 적용받기 위한 핵심 증빙 자료에 해당합니다. 그런데 실무상 이 서식은 국내 법인세 신고 기한이 지난 뒤에야 현지로부터 제공되는 경우가 많아, 개정 세법 시행 이후 첫 신고 과정에서 투자자가 외국 납부 세액 공제를 원 신고에 온전히 반영하기 어려운 구조적 시차 문제가 나타나고 있습니다. 본 뉴스레터는 투자신탁의 법인 수익자가 자신의 법인세 신고 시 외국 납부 세액 공제를 적용하는 경우를 중심으로, ① 미국 파트너십 과세 제도의 기본 구조, ② Form 1042-S 및 Form 8805의 역할, ③ 서식 수령 시차에 따른 실무상 유의사항을 순서대로 살펴봅니다. 1. 미국 파트너십 과세 제도의 기본 구조     미국 파트너십(파트너십으로 취급되는 LLC를 포함합니다)은 원칙적으로 그 자체가 연방 소득세를 부담하지 않고, 손익이 각 파너트에게 배분되어 귀속되는 이른바 pass-through entity입니다. 다만 파트너십 단계에서 소득세가 과세되지 않더라도, 파트너십은 그 소득·비용 등의 정보를 미국 국세청(Internal Revenue Service, IRS)에 신고할 의무가 있으며, 해당 신고 서식인 Form 1065의 부속 서류에 해당하는 Schedule K-1을 통해 각 파트너에게 소득·공제 등의 배분 내역을 제공합니다.     파트너에 대한 원천징수는 그 파트너가 미국 세법상 거주자에 해당하는지에 따라 달라집니다. 구체적으로, 미국 세법상 거주자 파트너(미국인 파트너)는 자신의 소득을 자진 신고 방식으로 신고·납부합니다. 따라서 파트너십은 미국인 파트너에게 소득을 배분할 때 별도로 원천징수하지 않고, 해당 파트너가 Schedule K-1을 통해 전달받은 배분 내역을 반영하여 직접 신고·납부하게 됩니다.     반면 미국 세법상 비거주자 파트너(외국인 파트너)에 대해서는, 파트너십이 배분하는 소득의 성격에 따라 별도의 원천징수 의무가 발생할 수 있습니다. 따라서 국내 펀드가 미국 파트너십에 투자하는 경우, 국내 펀드는 통상 미국 세법상 외국인 파트너에 해당하므로, 해당 파트너십으로부터 배분받는 미국 원천 소득이 FDAP 소득인지 또는 ECI에 해당하는지에 따라 서로 다른 원천징수 및 보고 체계가 적용됩니다. 구체적으로, FDAP 소득에 대해서는 Form 1042-S가, ECI에 대해서는 Form 8805가 발급될 수 있으며, 각 소득 유형별 원천징수 방식은 아래와 같습니다.     1) FDAP 소득         FDAP(Fixed, Determinable, Annual or Periodical) 소득이란 고정적이거나 확정 가능한, 그 밖의 정기적인 소득을 의미하며, 통상 미국 원천 이자·배당 등이 이에 해당합니다. 미국 원천 FDAP 소득은 원칙적으로 총액(gross) 기준으로 30%의 세율로 원천징수되며, 조세조약이 적용되는 경우에는 해당 제한세율이 적용될 수 있습니다. 파트너십이 외국인 파트너에게 FDAP 소득을 배분하는 경우 이러한 원천징수가 이루어지고, 그 내역은 이하에서 안내해 드릴 Form 1042-S를 통해 제공됩니다. 2) ECI         ECI(Effectively Connected Income)란 미국 내에서 수행하는 사업 활동(U.S. trade or business)과 실질적으로 관련된 소득을 의미합니다. 여기서 미국 내 사업 활동이란 미국 내에서 계속적·반복적으로 이루어지는 영업 활동을 말하며, 국내 펀드 투자의 맥락에서는 파트너십을 통한 미국 부동산 임대·개발 사업 혹은 미국 내에서의 반복적인 직접 대출 등이 이에 해당할 수 있습니다. 파트너십이 외국인 파트너에게 ECI를 배분하는 경우, 파트너십은 관련 규정에 따라 그 배분 소득에 대한 세액을 원천징수하여 납부하여야 하며, 그 내역은 Form 8805를 통해 안내됩니다. FDAP 소득이 총액 기준으로 과세되는 것과 달리, ECI는 관련 비용 등을 차감한 순액 기준(net basis)으로 최종 과세되므로, 원천징수 세액과 최종 세액 간에 차이가 발생할 수 있고, 결과적으로 원천징수 세액이 최종 세액을 초과하는 경우에는 미국 세금 신고를 통해 환급을 청구할 수 있습니다. 2. Form 1042-S 및 Form 8805의 역할     Form 1042-S는 비거주자에게 지급된 미국 원천 FDAP 소득에 관하여 소득의 종류, 총 소득액, 실제 적용된 원천징수 세율과 원천징수 세액 등을 기재하는 명세서입니다. 원천징수 의무자는 연간 총괄 신고서인 Form 1042와 수취인별 명세서인 Form 1042-S를 통해 소득 금액과 원천징수 세액을 IRS에 신고하고, 각 수취인에게는 해당 Form 1042-S 사본을 교부합니다.     Form 8805는 파트너십의 미국 내 사업과 실질적으로 관련된 과세 소득(Effectively Connected Taxable Income, ECTI) 중 해당 외국인 파트너에게 배분된 금액과 그에 대해 원천징수된 세액을 기재하는 서식입니다. 앞서 살펴본 것처럼 ECTI는 순액 기준으로 과세가 이루어지므로, 외국인 파트너는 원천징수만으로 종결하지 않고 자신의 미국 세금 신고서(법인의 경우 Form 1120-F)를 제출하여 소득을 신고하고, Form 8805에 기재된 원천징수 세액을 기납부 세액으로 정산하게 됩니다. 이 과정에서 원천징수 세액이 최종 세액을 초과하면 미국에서 환급이 발생할 수 있습니다.     결국 투자자는 Form 1042-S와 Form 8805를 통해 자신에게 귀속된 미국 원천 소득의 종류와 그에 대해 적용된 원천징수 내역을 확인하게 됩니다. 하나의 펀드에서 FDAP 소득과 ECI가 모두 발생할 수 있으므로, 투자자가 두 서식을 함께 수령하는 경우도 드물지 않습니다.     무엇보다 이 두 서식은 미국 원천징수 내역을 확인하는 단순한 참고 자료에 그치지 않습니다. 개정 전에는 국내 펀드 단계에서 외국 납부 세액을 환급받는 과정에서 그 전제가 되는 외국 납부 세액을 확인·소명하기 위한 핵심 증빙으로 이들 서식을 활용하였습니다. 개정 후에는 그 증빙을 활용하는 주체가 국내 펀드에서 투자자로, 그 단계가 펀드의 환급 청구에서 투자자의 법인세 신고로 바뀌었을 뿐, 두 서식이 외국 납부 세액 공제의 적법성을 뒷받침하는 핵심 증빙이라는 사실은 달라지지 않습니다. 국내 외국 납부 세액 공제는 외국에서 실제로 부과·납부된 세액을 전제로 하고, 과세관청의 소명 요구에 대응하기 위해서는 원천징수 내역이 확정적으로 드러나는 자료가 필요하기 때문입니다. 3. 실무상 유의사항     1) 서식 수령 시점과 국내 신고 기한의 시차         개정 전에는 이중과세 조정이 국내 펀드 단계에서 이루어졌으므로, 자산운용사가 자체적으로 외국 납부 세액 환급 신청을 진행하면 되었습니다. 이에 따라 투자자의 법인세 신고 기한이 현지 서식 수령 시점에 직접적으로 영향을 받는 구조는 아니었습니다. 그러나 개정 후에는 투자자인 내국법인이 각자의 법인세 신고에서 외국 납부 세액 공제를 적용해야 하므로, 미국 측 서식이 각 투자자의 신고 기한까지 도달하는지가 관건이 될 수 있습니다.         그런데 미국 측 서식의 발급·교부 기한은 국내 법인세 신고 기한보다 늦어지는 경우가 많습니다. 예컨대, Form 1042-S는 원칙적으로 소득 귀속 연도의 다음 해 3월 15일까지 교부되나 일정 요건 충족 시 30일 연장이 가능합니다. Form 8805의 경우, 원칙적으로 파트너십 신고 기한(역년 파트너십의 경우 다음 해 3월 15일)까지 교부되나, 전원이 외국인 파트너로 구성되거나 장부를 미국 밖에서 관리하는 파트너십은 그 기한이 다음 해 6월 15일이며 연장 시 그 이후로 늦어질 수도 있습니다. 또한 실무상으로는 미국 현지 운용사(GP) 또는 원천징수 의무자가 내부 정산 및 서류 취합 절차를 거친 후 관련 서식을 투자자에게 전달하는 경우가 많습니다. 이로 인해 투자자가 실제로 서식을 수령하는 시점은 법정 교부 기한보다 상당히 늦어지는 것이 일반적입니다.         이처럼 미국 세법상 정보 보고 및 원천징수 관련 서식은 국내 법인세 신고 기한 이후에 교부되는 경우가 많고, 실무상 투자자가 관련 서식을 실제로 수령하는 시점도 통상 다음 연도 5월 또는 6월 이후가 되는 사례가 적지 않습니다. 반면 국내 법인세 신고는 원칙적으로 사업연도 종료일부터 3개월 이내에 이루어져야 하므로, 사업연도가 역년과 일치하는 법인의 경우 통상 3월 31일까지 신고를 완료하여야 합니다. 그 결과 투자자는 원천징수 세액이 최종 확정된 서식을 확보하기 전에 국내 법인세 신고를 먼저 진행해야 하는 문제가 발생할 수 있습니다.     2) 신고 후 경정청구와 기한 관리         이 경우 투자자로서는 가용한 정보를 바탕으로 국내 법인세 신고를 우선 진행한 뒤, 확정된 미국 세무 서식을 수령한 시점에 경정청구 또는 수정신고를 통해 외국 납부 세액 공제를 반영하거나 정정하는 방안을 고려할 필요가 있습니다. 특히 앞서 살펴본 바와 같이 ECI에 대한 미국 원천징수 세액은 미국 내 신고·정산 절차를 거쳐 최종 확정되므로, 외국 납부 세액 공제 역시 해당 세액이 최종 확정된 이후 이를 기초로 반영하는 것이 합리적입니다.         따라서 서식 수령 또는 세액 확정이 지연되는 경우뿐만 아니라, 관련 서식을 수령한 이후 실제 국내 세무 신고 정정 절차를 진행하는 데 소요되는 기간까지 고려하여, 국내 경정청구 기한(통상 법정 신고 기한부터 5년) 내 필요한 조치가 적시에 완료될 수 있도록 일정을 지속적으로 관리할 필요가 있습니다.     3) 조세조약상 제한세율을 초과한 원천징수와 외국납부세액공제의 적정성 문제         관련 서식을 수령한 뒤에는 해당 원천징수가 조세조약상 제한세율에 따라 적정하게 이루어졌는지도 확인할 필요가 있습니다. 실무상 배당·이자 등 미국 원천 FDAP 소득에 대하여 조세조약상 제한세율이 적용되지 않고 30%의 일반세율로 원천징수되는 사례가 있을 수 있습니다. 이처럼 조세조약상 감면이 적용될 수 있었음에도 과다 원천징수된 세액에 대해서는, 미국에서 조세조약 적용을 주장하여 환급을 청구해야 할 수 있습니다. 따라서 이러한 가능성을 검토하지 않은 채 30% 세율로 원천징수된 세액 전액을 그대로 외국 납부 세액 공제 대상으로 처리하는 경우, 국내 외국 납부 세액 공제가 ‘외국에서 적법하게 부과·납부된 세액’을 전제로 한다는 점에서 그 공제 가능성 및 범위의 적정성에 관한 이슈가 제기될 수 있습니다. 4. 시사점     이상에서 살펴본 바와 같이, 개정 세법 하에서 국내 투자자가 미국 펀드 투자와 관련하여 이중과세를 조정받을 수 있는지 여부는 투자자 단계에서 외국 납부 세액 공제를 적법하게 적용받을 수 있는지에 좌우됩니다. 그리고 그 출발점은 Form 1042-S 및 Form 8805의 정확한 수령·검토에 있습니다. 두 서식은 소득의 성격(FDAP 또는 ECI)에 따라 발급 주체, 과세 방식 및 세액 확정 시점을 달리하므로, 투자자는 자신에게 귀속된 소득이 어느 유형에 해당하는지를 우선 파악할 필요가 있습니다.     다만 이중과세 조정이 투자자 단계로 전환됨에 따라, 미국 세무 서식의 발급·교부 일정과 국내 법인세 신고 기한 사이의 시차가 실무상 부담으로 작용할 수 있습니다. 관련 서식이 국내 신고 기한 이후에 도달하는 구조에서는 투자자가 원 신고 시점에 외국 납부 세액 공제를 온전히 반영하기 어려우며, 가용한 정보를 바탕으로 우선 국내 신고를 진행한 후 사후적으로 경정청구 등을 통하여 공제액을 반영·정정하는 절차가 필요할 수 있습니다.     따라서 투자자로서는 자신에게 귀속되는 소득의 유형과 이에 대응하는 미국 세무 서식을 사전에 파악하고, 조약상 제한세율의 적정 적용 여부까지 확인할 필요가 있습니다. 나아가 서식 수령 및 세액 확정 일정과 국내 경정청구 기한을 함께 관리함으로써, 필요한 후속 절차가 기한 내에 이루어질 수 있도록 사전에 대비하여야 합니다. 법무법인(유) 광장 조세그룹은 미국 및 국내 환급 신청, 외국 납부 세액 공제 적용, 한·미 조세조약 및 원천세 관련 쟁점에 관한 검토를 통해 국내 투자자의 아웃바운드 투자 과정에서 발생할 수 있는 세 부담과 컴플라이언스 리스크를 체계적으로 관리할 수 있도록 지원하고 있습니다. 관련하여 구체적인 검토가 필요하신 경우 언제든지 연락해 주시기 바랍니다. 특허출원 서비스에 대한 부가가치세 영세율 상호주의(중국) 사건 승소

2023년 1월 1일 시행된 「국제조세조정에 관한 법률」 제34조의2에 따른 국외투과단체 과세특례제도(본건 특례)는 해외 도관체에 대한 국내외 세무상 취급의 불일치, 즉 혼성불일치(hybrid mismatch)로 인하여 조세조약의 적용이 부인될 수 있는 구조적 리스크를 해소하기 위해 도입되었습니다. 이러한 제도적 기반이 마련됨에 따라, 미국 투자와 관련하여 한 · 미 조세조약상 고정사업장(permanent establishment, PE)의 부재를 근거로 미국 내 사업활동 관련 소득(effectively connected income, ECI)에 대한 미국의 과세권을 제한하는 이른바 'ECI 포지셔닝'을 활용하려는 시도가 최근 확대되고 있습니다. 본 뉴스레터에서는 본건 특례가 ECI 포지셔닝의 실행 가능성에 미친 영향과 함께, 이를 채택함에 있어 실무상 유의하여야 할 주요 쟁점을 검토합니다. 1. 제도 도입 경과 및 최근 동향     1) 도입 배경 및 효과         본건 특례 도입 이전에는 해외에서도 관체(pass-through entity)로 취급되는 단체가 국내 세법상으로는 비도관체로 취급됨에 따라, 국가 간 세무상 취급의 불일치가 발생하는 사례가 적지 않았습니다. 이와 같이 현지에서는 도관체이나 국내에서는 비도관체로 취급되는 단체를 이른바 역혼성 단체(reverse hybrid entity)라 하며, 이러한 불일치로 인해 현지에서 조세조약의 적용이 부인되어 추가적인 과세가 이루어질 리스크가 존재하였습니다. 이러한 불확실성은 투자 구조 설계 단계에서의 예측 가능성을 저해할 뿐만 아니라 원천징수 및 세금 신고 등 사후 운영 측면에서도 실무적 부담을 가중시키는 요인으로 작용하여 왔습니다.         본건 특례는 이러한 구조적 한계를 해소하기 위하여, 현지 세법상 도관체로 취급되는 단체를 국내 세법상으로도 도관체로 취급하고 해당 단체의 소득을 출자자 단계에 귀속시켜 과세할 수 있는 제도적 근거를 마련하였습니다. 이에 따라 혼성 불일치에 기인한 조세조약 적용에 대한 불확실성이 상당 부분 해소되었으며, 특히 미국 투자에 있어서는 한·미 조세조약상 소득의 귀속자 및 조약 혜택을 주장할 수 있는 주체의 확정에 관한 법적 정합성을 확보할 수 있게 되었다는 점에서 실무적 의의가 크다고 할 수 있습니다.     2) ECI 포지셔닝 논의의 확산         이와 같은 제도적 기반이 마련되면서, 최근에는 그간 미국 투자 시 주요 검토 이슈가 되어 왔던 ECI에 대한 리스크를 한미 조세조약을 통해 관리하려는 시도가 확산되고 있습니다.         실제로 본건 특례 시행 이후 해외 펀드의 GP(General Partner)들이 국내 투자자를 대상으로, 해당 펀드 투자에서 발생 가능한 ECI에 대해서 (i) 한·미 조세조약상 PE가 없거나 해당 소득이 PE에 귀속되지 않는다는 전제 하에 (ii) 미국의 과세권이 제한되고, (iii) 그 결과 미국 내 과세가 배제(비과세)될 수 있다는 취지의 ECI 포지셔닝을 제안하는 사례가 꾸준히 증가하고 있습니다.         세무 관점에서 PE 성립 여부는 해당 투자와 관련하여 미국 내에 사업상 실질(예: 인력·고정된 장소·대리인 활동, 주요 의사결정 및 기능 수행)이 존재하는지, 그리고 그 실질이 국내 투자자(또는 투자가구)에 귀속되는지에 의해 좌우됩니다.         다만, 국내 투자자의 아웃바운드 투자는 실무상 투자신탁 등 집합투자기구를 통해 이루어지는 경우가 많고, 이러한 구조에서는 국내 투자자(또는 해당 투자자가 활용하는 집합투자기구)가 미국 내 인력·장소·대리인 또는 투자 관련 의사결정 기능을 직접 보유·수행하는 형태로 운영되는 경우가 상대적으로 제한적이라는 점에서, ECI 발생 가능성이 존재하는 투자 구조에서도 한·미 조세조약에 따른 과세 제한 가능성을 검토해 볼 여지가 있습니다. 2. ECI 과세 구조와 조세조약의 적용     ECI는 미국 연방세법상의 비거주자가 미국 내에서의 사업 활동(U.S. trade or business, USTB)을 영위하는 것으로 취급되는 경우 그 사업 활동과 실질적으로 관련된 소득을 의미합니다. ECI로 분류되는 경우 단순한 원천징수 이슈를 넘어, 국내 투자자 단계에서 해당 소득에 대한 직접적인 미국 세금 신고·납부 등과 같은 컴플라이언스 부담이 발생할 수 있습니다.     이때 조세조약은 ECI에 대한 미국 과세 여부를 판단함에 있어, 조약상 사업소득(business profits) 조항을 통해 미국의 과세권을 PE의 존재 및 귀속성(attribution) 기준으로 제한하는 구조로 작동합니다. 따라서 조세조약의 적용을 신청하는 해외 투자자가 (i) 미국 내 PE를 보유하지 않거나 (ii) (혹은 보유하더라도) 해당 소득이 미국 내 PE에 귀속되지 않는다는 점이 사실관계로 뒷받침된다면, 조세조약에 의거하여 ECI에 대한 미국에서의 과세가 제한될 수 있습니다. 3. 본건 특례와 ECI 포지셔닝의 실무적 의의     ECI 포지셔닝은 관련 요건을 충족하는 국내 투자자들을 대상으로, 조세조약상 사업소득 조항을 근거로 과세 제한 논리를 구성한 뒤, 이를 실제 원천징수 및 신고 의무 이행 과정에 반영하는 방식으로 이루어지고 있습니다. 이를 이행함에 있어 통상적으로 문제가 되는 부분은 “조세조약 혜택을 신청하는 주체가 누구인지”, 그리고 “그 주체가 조세조약 목적상 해당 소득의 귀속자로 볼 수 있는지” 여부입니다. 이와 관련하여, 본건 특례는 해외 도관체에 대한 국내 세무상의 소득 귀속 구조를 출자자 단계로 제도적으로 정리함으로써, 위와 같은 조약 적용 주체 및 소득 귀속자 확정에 대한 불확실성을 완화하고 ECI 포지셔닝의 예측 가능성을 제고하는 데 기여하였다고 평가할 수 있습니다.     실무상 ECI 발생 가능성이 높은 투자에 대해서는, 현재 미국 내 별도 법인(소위 blocker corporation)을 설립하여 해당 blocker가 ECI를 수취하고 blocker 단계에서 미국 연방 법인세를 납부하는 방식이 대표적인 리스크 관리 수단으로 활용되고 있습니다. 다만 이 경우 blocker 단계에서 법인세 부담이 발생하므로, 투자자 입장에서는 현금 흐름 및 수익률에 부정적인 영향을 받을 수밖에 없습니다.     그럼에도 불구하고 종전에는 ECI에 해당하는 소득을 투자자 단계에서 직접 수취하는 경우 발생할 수 있는 신고·납부 및 관련 컴플라이언스 부담이 상대적으로 더 크다는 판단 하에, 일정 수준의 tax leakage를 감수하고서라도 blocker를 사용하는 방안이 대부분 채택되어 왔습니다. 이러한 맥락에서, 조세조약상 요건과 이를 뒷받침할 사실관계를 확보하고, 원천징수 및 신고까지의 운영 프로세스를 일관되게 정립할 수 있다면, ECI 포지셔닝은 blocker를 사용하지 않고서도 ECI 관련 리스크를 관리하면서 tax leakage를 최소화할 수 있는 대안으로 고려될 수 있습니다.     물론, 국내 투자자가 대체로 아웃바운드 투자 시 미국 내 고정사업장을 형성하지 않는 것으로 간주되도록 투자 구조를 수립한다는 점은 ECI 포지셔닝을 하는 데 있어 유리한 출발점이 될 수 있으나, 그 자체로 긍정적인 결론을 보장하지는 않습니다. 조세조약 혜택을 주장하는 주체의 지위(투자기구/수익자), 조세조약상 요건의 충족 여부 및 USTB/PE 판단을 좌우하는 실제 이행 방식이 종합적으로 고려되어야 ECI 포지셔닝이 실무적으로 작동할 수 있습니다. 4. ECI 포지셔닝 채택 시의 실무상 고려 사항     조세조약을 근거로 ECI 포지셔닝을 취하는 경우, 사안에 따라 해당 조세조약의 적용을 위한 서식 제출 등이 요구될 수 있습니다. 다만, 투자 실행 이후에는 GP 등 상대방과의 협의 여지가 제한될 수 있으므로, 이러한 준비는 거래 초기 단계에서부터 체계적으로 진행될 필요가 있습니다. 구체적으로는 (i) 조세조약의 적용 주체를 확정하고 관련 서류를 사전에 준비하는 한편, (ii) 상대방의 협조 의무를 구체화하여 이를 관련 계약 또는 side letter에 반영하는 것이 중요합니다. 주요 검토 항목은 다음과 같습니다.     ■ 조세조약 적용 주체(투자기구/수익자 등)의 확정 및 이에 따른 Form W-8BEN 또는 W-8BEN-E 등 관련 서식의 준비     ■ ECI 포지셔닝 채택 시 신고 주체·일정·비용 부담 등 컴플라이언스 관련 사항에 대한 사전 합의     ■ GP 등 상대방의 협조 범위(Schedule K-1 등 세무 정보의 제공 범위 및 일정, 원천징수 관련 절차, 지연 시 대응 방안 등)를 관련 계약/side letter에 반영     ■ ECI 포지셔닝이 미국 과세당국(Internal Revenue Service, IRS)에 의해 부인될 경우에 대비한 잠재적 리스크(과소 신고 가산세, 이자 부담 등)의 사전 평가 5. 종합 평가 및 시사점     본건 특례의 도입으로 역혼성 단체에 대한 국내외 세무상 취급의 불일치가 제도적으로 정리됨에 따라, 조세조약에 기반한 ECI 포지셔닝의 실행 가능성이 종전에 비해 한층 높아진 것으로 평가됩니다.     다만, ECI 포지셔닝의 실효성은 (i) USTB 및 PE 관련 사실관계, (ii) 국내·해외 관점에서의 소득 귀속자에 대한 정합성, 그리고 (iii) 원천징수 및 신고에 이르는 운영 체계의 일관성에 따라 달라질 수 있으며, 본건 특례의 적용만으로 자동적으로 완성되는 것은 아닙니다. 즉, 개별 투자의 구체적 사실관계와 운영 방식에 따라 그 실효성이 좌우되는 만큼, 투자 초기 단계에서부터 국내·미국 양측의 세무 쟁점을 종합적으로 고려한 구조 설계와 운영 계획의 수립이 선행되어야 합니다.     나아가, ECI 포지셔닝의 활용이 확대됨에 따라 향후 IRS의 검증 강도가 높아질 가능성도 배제할 수 없으므로, 포지셔닝의 근거가 되는 사실관계와 조약 적용 논리를 사전에 견고히 구축해 두는 것이 중요합니다. 아울러, 본건 특례를 통해 확립된 소득 귀속 구조의 정합성 확보라는 접근 방식은 미국 외 다른 투자 대상국에서의 조세조약 적용 국면에서도 유사하게 활용될 수 있다는 점에서, 국내 투자자의 아웃바운드 투자 전반에 걸쳐 시사하는 바가 크다고 할 것입니다. 법무법인(유) 광장 조세그룹은 본건 특례의 신청 및 적용과 관련한 실무와 더불어, 한·미 조세조약 및 ECI 관련 쟁점 등을 종합적으로 검토하여 국내 투자자의 아웃바운드 투자 시 발생할 수 있는 세부담과 컴플라이언스 리스크를 균형 있게 관리할 수 있도록 지원하고 있습니다. 관련하여 구체적인 검토가 필요하신 경우 언제든지 연락 주시기 바랍니다.

Korea Adopts a Statutory Attorney-Client Privilege Framework, Implications for Tax Audits
On 29 January 2026, the Korean National Assembly passed amendments to the Attorney-at-Law Act that formally recognize attorney-client privilege, or ACP, as a statutory right. The reform grants attorneys and clients the right to withhold confidential legal communications, and certain related materials, from disclosure to third parties. The new regime is expected to have meaningful implications for tax audits, investigations, and administrative and judicial appeals, particularly by strengthening resistance to overly broad collection efforts and limiting downstream reliance on privileged materials. The amendment was promulgated on 19 February 2026 and is scheduled to take effect one year after promulgation. The addendum also suggests that the new ACP provision can apply to communications or materials created prior to the effective date, raising the possibility of its retroactive application. 1. Prior Legal Landscape     Historically, Korean law imposed on attorneys a duty of confidentiality concerning client communications. That duty, however, did not operate as a procedural shield in the way privilege does in many jurisdictions. While attorneys argued that legal advice should be immune from seizure under the constitutional right to counsel, the lack of a formal statute meant that the protection was inconsistent and determined only on a case-by-case basis. Consequently, taxpayers effectively had no legal grounds to refuse document disclosure during tax audits, and confidential communications were routinely seized in enforcement actions.     This legal landscape began to shift as the judiciary recognized the constitutional necessity of protecting attorney-client communications. Notably, Lee & Ko secured the first Supreme Court decision (Supreme Court Decision 2024-Mo-730, dated February 20, 2026) recognizing the illegality of seizing legal advice and communications between an attorney and a client. The lower court's ruling in this case (Seoul Southern District Court Decision 2023-Bo-4, dated February 23, 2024) was incorporated into the "Statement of Reasons" for the newly passed amendment, serving as a significant judicial catalyst for the legislative reform.     The newly enacted law addresses this previous gap by transforming from an ethical confidential obligation framework to an enforceable right against third-party disclosure. 2. Key Provisions and Our Interpretation     The amended law adds a new Article 26-2 following the existing confidentiality provision in Article 26. The new article grants attorneys and their clients, including prospective clients, two core rights:     1) A non-disclosure right over attorney-client communications exchanged for purposes of providing or receiving legal services, and     2) A non-disclosure right over documents and materials (including electronic records) prepared in connection with litigation, investigations (audits), or other inquiries relating to matters for which counsel was engaged.     Unlike the work-product doctrine recognized in other jurisdictions in the context of discovery, which extends not only to attorneys but also to documents or materials prepared in anticipation of litigation by other representatives or advisors, the newly enacted ACP law in Korea limits this protection to documents or materials prepared by attorneys. In this respect, the newly enacted ACP provision may be viewed as placing particular emphasis on protecting the client's right to receive legal assistance from counsel. 3. Exceptions to the ACP     The statute provides that ACP will be waived or not apply in certain circumstances, including:     ■ where the client expressly consents,     ■ where substantial public interest concerns override confidentiality (for example, if legal advice is used to facilitate unlawful conduct, or counsel is involved in illegal activity),     ■ where disclosure is necessary for counsel to assert or defend rights in a dispute with the client, or     ■ where another statute expressly provides otherwise. 4. Implications for Tax Audits and Appeals in Korea     The codification of ACP is poised to materially affect Korean tax enforcement practice.     Historically, during tax audits and dawn raids in Korea, authorities routinely collected emails, internal memoranda, and external legal opinions without meaningful limitation. These materials were frequently incorporated into assessment notices and later relied upon in administrative and judicial proceedings.     In practice, Korean tax authorities conducting special tax audits have also exercised the power to temporarily seize books and records from the taxpayer's premises. Although such temporary seizure (so-called "deposit" or provisional custody of documents) formally requires the taxpayer's consent under Korean tax audit procedures, refusal in practice often results in a markedly more adversarial and pressured audit environment. As a result, taxpayers frequently feel compelled to provide consent, effectively under practical duress, for lack of a viable alternative. In this environment, tax authorities have historically obtained broad access to documentary materials, including internal communications and legal analyses.     Under the new regime, however, taxpayers may be positioned to assert privilege objections against the seizure or compelled production of protected materials. Under circumstances where tax authorities seek access to legal communications during on-site inspections or document seizures, the codification of ACP may therefore serve as an important procedural safeguard for taxpayers' rights, particularly in the context of intrusive special audits.     Although the Korean statutory framework does not yet provide explicit procedural mechanisms comparable to those developed in other jurisdictions, the amended law may function in a manner broadly analogous to privilege logs and claw-back procedures in U.S. discovery, allowing taxpayers to identify and withhold privileged materials or to seek the return of privileged documents that were inadvertently obtained by the authorities. 5. Unanswered Questions     Despite its structural significance, the amended law leaves several operational issues unresolved.     The statute does not provide detailed guidance regarding the scope of protected materials, the procedural mechanisms for asserting ACP during audits or investigations, or the remedies available in the event of a violation. In particular, it remains unclear what formal steps taxpayers and counsel must take to ensure that documents are recognized and treated as privileged.     For example, the amended law does not specify:     ■ whether documents must be expressly labeled or marked as "privileged" or "confidential" to qualify for protection;     ■ whether a privilege log or similar disclosure protocol will be required when resisting production;     ■ whether authorities must segregate or seal potentially privileged materials during searches or electronic data imaging; and     ■ whether an independent review mechanism, such as judicial or in camera inspection, will be available to resolve privilege disputes before enforcement measures are imposed.     From a more practical perspective, during a tax audit in Korea, authorities typically mass-collect virtually all text-based documents—such as emails and memoranda—based on file extensions. That is, rather than assessing the relevance of individual files before copying, they systematically collect all files matching certain extensions (e.g., .doc, .pdf, or .xls) regardless of content. This blanket data collection approach raises a significant practical challenge: how to prevent documents protected under ACP from being collected in the first place.     At present, as detailed implementing regulations or guidelines have not yet been released, it would be advisable to (i) clearly indicate on communications with attorneys and documents prepared by attorneys that they are protected under ACP, for example by marking them with the phrase "Protected by Attorney-Client Privilege," (ii) manage such materials separately from other documents so that, in the event of a tax audit, it can be clearly asserted that they should not be copied or collected, and (iii) ensure that legal counsel is present during the tax audit to prevent officials from photocopying or otherwise collecting such materials.     Accordingly, practitioners and taxpayers should expect further legislative refinement and judicial interpretation to clarify the privilege's practical boundaries. 6. Concluding Assessment     The statutory recognition of ACP marks a significant evolution in Korean procedural law. By affording enforceable protection to confidential legal communications and litigation-related materials, the newly enacted law strengthens taxpayers' defense rights and enhances procedural fairness in investigative and judicial contexts.     Functionally, the reform aligns Korea more closely with common law jurisdictions, particularly the United States, where ACP and the work-product doctrine form the backbone of adversarial litigation strategy.     The ultimate scope and strength of the Korean ACP regime, however, will depend on how courts interpret its boundaries and how enforcement authorities adapt their investigative practices in response.
