Lee & Ko acted as legal advisor for the acquisition of Hanskin by Celltrion GSC in the beginning of 2013. Celltrion GSC is an affiliate of Celltrion Pharmaceutical (a company specializing in biosimiliar mAbs) and is engaged in the import and sale of active pharmaceutical ingredients. Celltrion GSC acquired an 80% equity interest in the Korean cosmetics manufacturer, Hanskin, in order to diversify its business. Lee & Ko performed a critical role as legal advisor from the due diligence stage to the execution of the definitive agreement documentation, pursuant to which the transaction successfully closed in March of 2013. As a result of this transaction, Celltrion succeeded in acquiring a highly desirable platform for entering the Korean cosmetics market, where Celltrion is expected to actively market its line of skin-care products.
