The Bell reported on Lee & Ko partner Yong Joon Yoon’s speech during ‘The Bell: Private Markets Investment Forum.’
During the forum, Mr. Yoon gave a speech on ‘Material Adverse Effect (MAE) in the Context of M&A Transactions.’ He remarked, “Prior to COVID-19, there was scarcely any case law on MAE clauses and MAE was only recognized as an indeterminate concept in domestic M&A transactions. However, for M&A drafting processes taking place after this epidemic, there is a high possibility that tensions surrounding different positions on MAE clauses may escalate.”
